IP-owner pilot agreement

The scope to agree before a character or collection becomes available for licensed generation.

Pilot contract template. Uploading a property creates a private submission, not a public listing, licence grant or commitment to revenue. A completed agreement must be signed before activation.

1. Parties, property and authority

The schedule identifies the owner legal entity, authorized signatories and evidence of authority. List each covered character, variant, name, artwork and approved source asset. A collection can contain many characters, but a franchise name alone does not establish rights to all its elements. Identify any exclusions, co-owners, agency limits or third-party approvals.

2. Rights granted

Specify whether the pilot permits reference-based image generation, video generation, distribution of outputs or another defined use. Identify approved applications, renderers, channels, territories, audience, term and any sublicensing needed to deliver the experience. Character rights do not automatically include an actor's likeness, performer voice, music, logos or model-training rights. Unlisted rights are not granted.

3. Creative rules and approval

Attach approved references, character descriptions and restrictions for style, behavior, setting, products, endorsements and sensitive content. Name the people who may approve assets and outputs. Decide which uses may proceed automatically, which require review before publication, and which are prohibited. A private portal approval is not a substitute for executing the legal grant.

Mirai translates agreed rules into authorization and workflow controls. Generation can still produce errors. The pilot must include output review appropriate to its risks, incident handling and a way to stop new use. No prompt or policy check guarantees every frame's compliance.

4. Commercial schedule

Agree licence prices or pricing authority, revenue-share calculation, generation costs, taxes, refunds, chargebacks, currency, settlement frequency and reporting. Define whether revenue share is based on gross or net receipts and enumerate permitted deductions. Any advance, minimum guarantee, exclusivity or promotion commitment must be express. No follower count or demand estimate guarantees paid usage.

5. Assets, data and records

Record which source assets may leave Mirai, which providers may receive them, retention and deletion requirements, and whether any assets are confidential. Use personal data only under an appropriate lawful basis and DPA where required. Keep the signed grant, policy version, approvals, usage events and settlement records tied to the property. Do not train on the property or distribute reference packs unless separately authorized.

6. Pilot operation and exit

Set the launch window, volume or spend limits, escalation contacts, response expectations and success criteria. Before launch, test one approved use, one refused use, any required approval hold, and the resulting usage and payment records. Start with a bounded audience if demand and moderation needs are unproven.

The agreement must specify expiry, withdrawal notice, emergency suspension, treatment of already released outputs, accrued revenue and deletion or return of source assets. Withdrawal stops new authorization according to the agreement; it does not promise erasure of every copy already distributed on the internet. Expansion to more characters, applications or rights requires written approval.
