Mirai Likeness Licence v5.3
Version 5.3 (launch edition), 22 October 2026.
v5.3 change note: one signature rule for every channel; Latin American moral rights kept; Brazil age signal and 5-year rule; the optional video partner; 10 years only by per-deal tap in every row; training not offered at launch; dormant rows marked (R17).
Part 1 is the short form. It is Element 2 of the signing screen (signing-screen.md), shown verbatim, and it is operative contract text. Part 2 is the long form behind the link. Parts 1 and 2 are the Likeness Licence. Part 3 is the separate, optional AI Training Licence, signed in the same flow by its own button. [A] to [D] mark lines that switch by Jurisdiction Schedule (clause 23). A bracketed place, such as [New York], marks a line that only its residents see.
Part 1. Short form (on screen)
Who you sign with. Mirai Talent Inc. (Mirai; Delaware, USA, file 10680377), its affiliates, and any later operator of Mirai.
In short. Mirai owns the content made of you, and you can always post what you make. Cancel future content any time. Your face stays yours.
Likeness Content is every film, image or clip that shows you, or is made from your likeness, on Mirai or its partners, whoever made it: your films, friends' cameos, remixes, competition entries and brand campaigns.
What Mirai owns. Mirai owns all Likeness Content, with an exclusive licence of your name, image and likeness in that content: [A, B] perpetual, irrevocable and worldwide, where your home law allows. [C, D] worldwide, for 10 years from each item's creation, renewable. You assign to Mirai any rights you have in Likeness Content [C, D: for as long as its licence lasts]. Mirai may sublicense, transfer and enforce the licence. Your other creations: [A, B] Mirai's too; [C, D] yours, and Mirai may show and remix them (Platform Terms).
What stays yours.
- Your face, name and identity. Work, model and post anywhere.
- Free use, for good, of content you made of yourself, and of your other creations, credited to you, on your own posts and channels (including sponsored posts) and in your portfolio. A brand that wants to use or boost it needs a licence from Mirai.
What content of you is for. Mirai and its licensees make and use Likeness Content only for these six purposes, inside Your Rules:
- Your account: your kit, private likeness model, model card, previews, likeness checks and welcome film.
- Your own creations: Director films, images, presets and remixes starring you.
- Friends and community: cameos and personal creations by other users, only if you switch that on or approve the cameo.
- Brands: commercial licences at your price, in the listed image and video formats, only on the Licensed Model path.
- Showcase: your card and published content in the gallery, charts and competitions, on Mirai (including inside Partner Apps) and in Platform Partners' apps (clause 2.7).
- AI training: only under the separate AI Training Licence (Part 3), not offered at launch.
Voice, speech and Mirai's ads of you are separate choices.
Your path. Choose one.
- Mirai Licensed Model (exclusive; you earn 80% on commercial licences). Your AI likeness is licensed for others' commercial use only through Mirai: not through another AI marketplace, agency, licensing service or API. Your own posts, consumer apps' own features and real-world work stay yours. In return: the brand marketplace, Platform Partners' apps (clause 2.7) and 80%. Switch to Create only any time, free. Breaking exclusivity lets Mirai end your Licensed Model status or this licence, nothing else.
- Create only (your face for your own creations; not licensed to others). Nobody else creates with your face unless you switch on personal use or approve a cameo. You can license your likeness elsewhere.
Your money. You set your commercial price (default $50). Every commercial licence of you pays you a fixed 80% of that price, whoever sells it, never net of costs. Example: a $50 licence pays you $40, before tax, once the buyer's payment clears. The other 20% is Mirai's, inside the price: nothing is added on top for it. Mirai also keeps its published generation fee per image and clip, subscriptions and credits. When someone else makes personal content of you, you get 80% of the personal-use fee, the same share. Competitions, campaigns and prizes pay as published. Mirai is not your agent, finds you no work and promises no earnings.
How long. New content: [A] 2 years, renewing every 2 years until you cancel; we remind you 30 days before. [B] 2 years, then you renew by signing again. [C, D] Until you cancel. Licences sold to brands: 6, 12 or 24 months, or 10 years if you approve that deal [New York, Washington: each as you approve it].
Cancel future content any time. One tap in Settings cancels all new content of you: no reason, no penalty, nothing to pay back. It stops at once on Mirai and within 72 hours at partners. Your kit, face data and private model are deleted within 30 days. Content already made stays Mirai's, and Mirai may keep licensing it; its commercial licences keep paying you 80%. You can also cancel one part instead: brand licensing, personal use, a partner or training. [C, D, Washington, the Philippines] Withdrawing content already made, where your law allows, is one more tap.
Where. Stored in the US (if you opt in, our video partner also keeps a face reference); processed by the engines and processors the Privacy Notice lists, with countries.
If Mirai is sold. This licence and all its promises pass whole to the new operator. We tell you first; you can cancel.
Partners. Those on the recipients list can serve you. A new one: [US] named 30 days ahead, with a one-tap decline; [Outside the US] only after your Allow tap.
Changes. Mirai cannot widen this licence without your new signature. Same-kind features and engines come with 30 days' notice and a tap.
Disputes. [US] Individual arbitration (AAA), not court or class actions. Opt out within 30 days by email. [Outside the US] The courts of your country.
Your law. Any right your home law gives you that cannot be given up, including a right to withdraw consent, always applies.

Part 2. Long form
1. Parties
1.1 Mirai is Mirai Talent Inc., doing business as Mirai, a Delaware corporation, file 10680377, 2810 North Church Street, Wilmington, DE 19802, with its affiliates and any successor (clause 14), each bound by every protection here.
1.2 A non-US affiliate, later. Mirai may later name a Mirai affiliate outside the United States, by 30 days' notice giving its name and address, to sell licences used only outside the United States and to pay the earnings from them. It names one only once it has confirmed that this complies with the US rules on Americans' sensitive data (clause 10.6A). None is named at launch. That affiliate never holds kits or Face Data and never receives or accesses data about a US person. Mirai Talent Inc. stays responsible for every promise here.
1.3 Mirai is a technology company and platform, not your agent, manager or employer. It is the licensor of record and licenses as principal: it owns Likeness Content and sells licences of it in its own name. This Licence assigns and licenses rights. It is not a services contract: you perform no work for Mirai or anyone else.
1.4 You sign this Licence as its own act, after accepting the Platform Terms, so it is separate and clearly distinguishable from them. On your likeness, this Licence wins over the Terms.
1.5 One contract. The short form and this long form are one contract, the Likeness Licence. The long form adds detail, and detail that the short form leaves out is not a conflict. If the two conflict, the reading more favourable to you applies. The AI Training Licence (Part 3) is a separate contract (clause T11).
2. Likeness Content
2.1 Likeness Content is every image, video and other output that depicts you, or is generated from your likeness, through Mirai or its partners, whoever prompted it. It includes your own films and images, friends' cameos, remixes of any format with your face, competition entries, gallery posts and brand campaigns, and content made under Release v3 once you sign this version (clause 22). It is not your kit or Face Data (clause 10), which are always deleted on a Stop.
2.2 Assignment. In exchange for the royalties, access and tools this Licence gives you, you assign to Mirai now, worldwide and for the full term of protection, any copyright and other rights you have in Likeness Content, including content made later. The rights assigned are to reproduce, show, distribute, make available, adapt and edit it, in every medium and format the Purposes cover. Where your law does not allow an assignment (for example German author's rights), you grant Mirai the same rights as an exclusive licence for their full term. [A, B] You waive moral rights in it where your law allows, and otherwise agree not to assert them against uses this Licence permits. [C, D] You keep the moral rights your law does not let you give up; Mirai credits you where that law requires and never changes an item in a way that harms your honour or reputation. [C, D] The rights pass for the Purposes and for as long as that item's licence under clause 2.3 lasts, and then return to you. [Brazil] For content made after you sign, the assignment covers content made within 5 years of your signature, and the clause 5.3 reminder asks you to confirm it again at year 5 (Lei 9.610 Art. 51). Many AI outputs carry no copyright at all; Mirai's control of them then rests on this Licence. Your signature (Terms §0.1A) is your signed writing for this assignment.
2.3 Exclusive likeness licence. You grant Mirai an exclusive, worldwide licence of your name, image and likeness, and of your voice only where you granted voice separately (clause 12.3), as embodied in Likeness Content. Mirai may use, reproduce, show, distribute, edit, sublicense (clause 15), transfer (clause 14) and enforce (clause 2.8A) it, inside the Purposes, Your Rules and clause 3. [A, B] It is perpetual and irrevocable, to the fullest extent the law of your residence allows (clause 7.4). [C, D] It lasts 10 years from each item's creation, renewable by your tap, item by item or all at once, and clause 7.4 applies. A licence Mirai sells may run past that term only if you approved it on its deal card. In every row, clause 2.3A applies.
2.3A If a law caps the term. If a law caps the term of this licence, or of any licence granted under it, that part runs for the longest term the law allows and renews where that law allows, or when you sign again. The rest of this Licence is unaffected.
2.4 So Mirai and its licensees may use, license and exploit existing Likeness Content without time limit [C, D: for that term], inside the Purposes, Your Rules and clause 3.4, including after a Stop (clause 7).
2.5 Never the face. This is not an assignment of your face, identity, name or right of publicity. You keep your identity, your name and your right to work and model anywhere, in person or otherwise. Mirai owns the content and holds the exclusive licence. Nothing more.
2.6 Your licence back. Mirai grants you a free, worldwide, non-exclusive and perpetual licence to use Likeness Content you made yourself, and cameos you appear in: on your own posts and channels (including your own sponsored posts), in your portfolio and for personal use. It survives a Stop and closing your account. It is personal to you: you may not sell or license the content itself, put it in a stock library or dataset, use it to train another AI system or build a likeness model elsewhere, or remove its labels. A brand that wants it in the brand's own channels or ads, including by boosting or whitelisting your post, needs a licence from Mirai. Your other creations get the same licence back under Terms §5. Other users get what their licence record says.
2.7 The grant covers every surface Mirai runs or sublicenses under clause 15: Partner Apps (Terms §0.1A), web, iOS, Android, Platform Partners' apps, API and MCP agents.
2.8 Your Creations. Formats, presets, prompts, scripts, original characters, remixes and other outputs you make with Mirai's tools that show no real person are Your Creations. Mirai owns them as Terms §5 sets out, and you keep the licence back that section gives you for your own channels and portfolio. Your handle stays on each of your creations, and on every remix of them, as its source. A remix of a format with someone's face is Likeness Content of that person.
2.8A Enforcement. Mirai may enforce its ownership of Likeness Content and its exclusive licence against anyone who copies or misuses them, in its own name and at its own cost, including by takedown notices. If Mirai asks, you will confirm its rights in writing, free, and Mirai pays any cost. You keep your own right to act against any misuse of your face, and Mirai helps you when the misuse involves Likeness Content.
2.8B Your reviews. Nothing in this Licence or the Terms stops or penalises you for reviewing, rating or commenting on Mirai, its buyers or partners, in any medium. Mirai takes no ownership of, and no exclusive rights in, such a review, even if it is Likeness Content; it takes only a non-exclusive licence to show it on Mirai, and never uses clause 2.8A against it.
3. Purposes and limits
3.1 The six Purposes (account, your own creations, friends and community, brands, showcase, and training under Part 3) are the reasonably specific description of the intended uses of your likeness that digital-replica laws ask for, including California Labor Code §927, New York General Obligations Law §5-302 and the Illinois Digital Voice and Likeness Protection Act. Purpose 4 covers only the licence products in Terms Schedule B: image and video, for digital and for print and out-of-home use. A versioned Purposes page gives examples (purposesVersion). It may add examples inside a Purpose, never a new kind of use.
3.2 Your Rules (price, categories, blocked brands, print and out-of-home, licence length in Rows C and D, approval mode, partners) form part of this Licence. Changes apply to later sales, including later licences of existing Likeness Content.
3.3 Your separate yes, per licence: political, religious, health or medical, and financial (investment, crypto, gambling) uses.
3.4 Never, even with your yes: sexual or nude content; anything suggesting a minor; any output stating your opinion of a product or that you use it; anything the Community Standards ban (Terms Schedule A). A real endorsement in your own words needs a Signature Addendum.
3.5 Create only. Purpose 4 never applies to content made while you are Create only, unless you later move to the Licensed Model path, which brings it in (the screen for that says so).
3.6 Training firewall. Owning Likeness Content never lets Mirai put it into a training set or dataset unless you signed the AI Training Licence (Part 3). This does not cover prompts, formats, metadata and content in which no real person can be identified, which Mirai may use to run and improve its tools.
4. Your path
4.1 An active choice. The signing screen shows two paths of equal size, colour and weight, with neither selected: "Mirai Licensed Model (exclusive; you earn 80% on commercial licences)" and "Create only (your face for your own creations; not licensed to others)". You must pick one to sign (path). There is no default. Your consent is never presumed, and the screen states what each path means for your money. Where clause 23 offers only Create only, that card is shown alone. The model application on mirai.inc is for people who choose to be a Licensed Model, so it shows that card alone; a member who wants Create only chooses it on the signing screen when adding their face. A Licensed Model can have a public profile that buyers find in search (Terms §9.3). It is part of the Licensed Model path, under this same Licence, with no separate contract or rules. However you reach Mirai, in a Partner App or on the web, you sign this same Licence.
4.2 Licensed Model exclusivity. While you are on that path, your AI likeness is licensed for others' commercial use only through Mirai: not through another AI marketplace, agency, licensing service or API. Mirai's licence to make new Likeness Content is exclusive in this sense.
4.3 What stays yours: your own posts and channels; consumer apps' own features used for yourself, even if their terms take a licence; your real-world work, modelling and appearances, including a digital replica made for your own performance in a production that engages you and used only in that production; your voice, unless you granted it under clause 12.3, as long as it is never combined with AI images or video of you; licences you disclosed at signing (clause 20.1). This is licence exclusivity, never representation. Mirai represents nobody.
4.3A Your agent or manager. You can keep any agent or manager, including for AI deals. They may bring any AI deal to Mirai; it is licensed through Mirai under a Signature Addendum. Mirai represents nobody and pays your agent nothing; your agreement with them is your own.
4.4 Consideration: access to Mirai's commercial licensing marketplace and partner syndication, and 80% of every commercial Likeness Fee. Create-only users get neither. You can leave Licensed Model status at any time, free (clause 4.7).
4.4A Where exclusivity cannot bind you. If the law where you live does not let clause 4.2 bind you in full, clause 4.2 applies to you only as far as that law allows. If it allows none of it, your status there is non-exclusive. Your 80% and everything else stay the same.
4.5 Remedy: if you break clause 4.2, Mirai may end your Licensed Model status or this Licence. Nothing else: no damages, injunction or clawback, and no claim against anyone you worked with.
4.6 Create only. Mirai's licence to make new content of you is non-exclusive and covers Purposes 1, 2, 3 (if switched on) and 5, and training only if you sign Part 3. You may license your likeness anywhere else.
4.7 Switching. Licensed Model to Create only is one tap, any time; Likeness Content and licences already made continue (clause 7). Create only to Licensed Model needs a fresh signature.
4.8 Row B (New York, California). Licensed Model is offered only as a fixed 2-year term with no auto-renewal: you renew by a tap and a fresh signature. You can leave any time. New York residents are Create only at launch (clause 23.2), so this clause reaches them once licensing opens there. Illinois residents add no face (clause 23.6). In Row B:
(a) This Licence grants rights in Mirai's own content and a likeness licence, not personal or professional services, and Purposes 1 to 6 describe the intended uses in reasonably specific terms.
(b) Mirai procures no engagements (Terms §9). New York residents also get what the Fashion Workers Act asks of digital-replica terms: a fixed term under 3 years with no automatic renewal; a separate signed consent; an approval card for each licence naming its scope, purpose, rate and duration (clause 23.2); no fee charged to you; and no more than 20% kept by Mirai (clause 8.4).
(c) The exclusivity covers only licensing your AI likeness for others' commercial use, leaves all other work free, ends any time with one tap and carries no damages (clause 4.5).
5. Term for new content
5.1 Mirai's licence to make new Likeness Content runs two years from your signature (termMonths: 24).
5.2 [A] It renews in 2-year periods until you Stop. The 30-day reminder goes in app, by push and to your Partner App inbox if you use one, with delivery proof.
5.3 [C, D] It continues for no fixed period until you Stop, and Licensed Model status continues until you leave it. Nothing renews automatically. Each year we remind you that you can stop or leave in one tap. In Germany the cancel path uses the button labels German law requires for online cancellation.
5.4 [B] It ends after 2 years unless you renew by a tap and a fresh signature.
5.5 Dormant: [A] if a reminder is undelivered or you have not opened Mirai for 180 days, Licensed Model status lapses at the renewal date.
5.6 Mirai may end this Licence only for a breach of clause 4 or 20.1, a serious Community Standards breach, a law that makes continuing unlawful, or closing the platform, with the effects of a Stop. New content also pauses when your Face Data is deleted for inactivity (clause 10.5), until you add your kit again with a fresh face-data consent.
6. Cancelling future content (a Stop)
6.1 Cancel future content any day with one tap in Settings, no reason needed. This is a Stop. Email to legal@mirai.inc is a fallback.
6.2 "At once" means the ledger flips at the tap's timestamp. 72 hours is a propagation limit for partners only, who certify deletion. No best-efforts wind-down, no waiting for orders or bookings already in progress, no clawback.
6.3 You may cancel one part instead: brand licensing (Licensed Model status), personal use, a partner or training (clause T7).
6.4 Consent live at generation means no Stop was received before that generation's timestamp. Editing existing Likeness Content without generating your face or body again (cropping, resizing, colour, captions, text, logos, products, format changes) is not new content.
6.5 Plain words before you confirm. The button reads "Cancel future content", and the screen says: "This cancels all new content of you, at once, and AI training stops. Content already made stays Mirai's." Then, for content made on the Licensed Model path: "It may still be licensed, and each commercial licence of it pays you 80% and shows in Earnings." For content made while Create only: "It is never licensed to others." [C, D, Washington, the Philippines] It also shows the clause 7.4 tap.
7. What continues after you cancel
7.1 Existing Likeness Content stays Mirai's. Mirai and its licensees may keep using and licensing it inside the Purposes and Your Rules as you last set them. Commercial licences of it keep paying you 80%. Content made while you were Create only stays unlicensed to others.
7.2 Licences already sold run to their end and keep paying you.
7.2A Licences stay good. Subject to clause 7.4, a licence sold inside your Rules, or approved by you, stays valid even if you later have a dispute with Mirai. Your claim is against Mirai, not the buyer, unless the buyer used it outside its licence.
7.3 Licence lengths (Terms B3). In every row: pre-approved at 6, 12 or 24 months; 10 years only by your per-deal tap naming buyer, use, rate and duration, or a Signature Addendum. In New York and Washington, every licence is only as named on your approval card (clauses 23.2 and 23.7). Clause 2.3A applies.
7.4 Rights you cannot give up. If your home law gives you a right to withdraw consent to the use of your image, voice or data that cannot be waived, you keep it, and nothing here limits it. Examples: the image, personality and data-protection laws of Argentina, Brazil, Chile, Colombia, Mexico, Peru, the Philippines, the EU, the UK and China; Washington's My Health My Data Act deletion right; and any other law of that kind. A Stop alone does not use it. To use it, tap "Also withdraw existing content" on the Stop screen [C, D, Washington, the Philippines], or email. In Rows C and D, and for Washington and Philippine residents, Mirai honours that tap without asking you to show the right. Mirai then stops showing existing Likeness Content and selling new licences of it within 14 days, and ends sold licences under Terms B13. Mirai, not you, answers to buyers, and never asks you to compensate anyone.
7.4A EU, EEA and UK. Mirai keeps and licenses existing Likeness Content because this signed Licence provides for it and pays you for it, not because of a consent you could withdraw. Your consent covers Face Data (clause 10) and AI training (Part 3). The clause 7.4 tap still lets you remove existing content at any time.
7.5 Delivered outputs stay valid. Your Record survives without images for the longest live licence plus six years, and anonymised aggregates survive. Trained models: clause T7. Face Data: clause 10.5.
7.5A What survives. A Stop, the end of this Licence, closing your account and your death never end these clauses: 2, 3.2 to 3.6, 7, 8, 9, 10.5, 10.6A, 12.5, 13, 14, 17, 20, 21 and 23. Part 3 has its own survival rule (clause T7). Clause 19.2 overrides them for a minor.
8. Money
8.1 Likeness Fee: your commercial price (times the Terms Schedule B factors), as paid by the end buyer, before any tax added on top, never net of any costs. Only commercial licences earn it: brand or business licences of your likeness, sold by Mirai directly or through partners, including a business's licence to let its users make personal content of you (a fan-lane licence under a Signature Addendum). A fee refunded because a licence was void, or withdrawn under clause 7.4, earns nothing. Mirai's goodwill refunds never reduce your share.
8.2 Royalty: 80% of the Likeness Fee. It is fixed. It is not a floor, and it does not change for you. 80% is the most anyone earns on Mirai, including under a Signature Addendum.
8.2A Personal use: the same 80%. When another user makes personal, non-commercial content of you (a cameo, a remix, or any use you switched on under clause 12.1), you earn 80% of the personal-use fee that user pays. Mirai sets that fee; you do not. It is charged only on delivery of a finished creation. Where a competition's rules give an entrant a free entry, Mirai pays the personal-use fee for each member shown, and your 80% of it is paid in film credits, as those rules say. You earn nothing on your own creations, on Mirai's house faces or on Generation Fees.
8.3 Everything else is Mirai's, and none of it is shared with you:
(a) the Generation Fee, Mirai's published price per image and per clip, paid by whoever generates, whether or not a person appears;
(b) the Platform Fee: Mirai's other 20% of the Likeness Fee, kept inside the price the buyer paid, never added on top;
(c) the other 20% of each personal-use fee (clause 8.2A), and the Generation Fee a creator pays;
(d) subscriptions, credits and everything else.
8.4 New York. New York residents are Create only at launch (clause 23.2). Once licensing opens there: for a New York resident, as for everyone, there is no fee on top, and Mirai keeps 20% of the Likeness Fee. The Generation Fee is charged to whoever generates, at the same published rate as any generation. It is never charged to you, deducted from your 80% or tied to the Likeness Fee. If the New York Department of Labor or a court treats it as part of a fee capped at 20% that applies to Mirai, Mirai charges no Generation Fee on New York residents' commercial licences from then on. The 80% never changes.
8.5 Separate products: clipping and campaign pay (Terms C4) and prizes (Terms C5) follow their published terms. The Training Royalty is set by the AI Training Licence (clause T5), never by this Licence.
8.6 Signature talent may agree a brand-backed guarantee or equity under a Signature Addendum (its clause 5.2). The royalty share stays 80%.
8.7 The Royalty is licence consideration on Mirai's own sale as principal. It is not wages, a commission or a fee for services, because you perform none (clause 1.3).
9. Payouts and tax
9.1 Earnings accrue in US dollars (1 USDC = $1) once the buyer's payment has cleared and its refund window has closed. Withdraw above the Schedule C minimum; no timetable is promised (Terms C7). Payouts go only through a licensed payout provider acting as your agent (Terms C7A). Its identity, tax and sanctions steps come at first withdrawal, in its own screen, and nothing is paid before them.
9.2 Non-US persons: US tax is withheld only on earnings from US-used licences, at 30% or the treaty rate, shown live. Mirai Talent Inc. always pays US-use earnings. US persons get the tax forms the law requires. Your taxes are your own, and earnings may be taxable when they reach your balance, before you withdraw them.
10. Face Data
10.1 Face Data is the face templates, embeddings, adapters and weights derived from your kit, your character sheet and likeness scores: together, your Private Likeness Model. Your kit is your selfie, head-turn and photos. Voice recordings you add under clause 12.3 are protected as the kit is. Face Data is biometric data under privacy laws such as GDPR Art. 9, LGPD Art. 11 and the Illinois Biometric Information Privacy Act. Likeness Content is not Face Data, and owning it gives Mirai no rights in Face Data beyond this clause.
10.2 Used only to make content of you and check it looks like you. Never used to identify anyone, pooled (except for training inside Mirai under Part 3), put in a dataset, sold, leased, traded or profited from as such, given as security, or taken out of Mirai's control.
10.3 Its own consent: its own block, unticked box and field (biometricConsent). You may refuse and stay a creator. The face checks are required. Two automated face checks are part of adding your face, and you cannot add it without them: when you add your kit, a check that your selfie, head turn and photos show the same person; and on content made of you, a check that it looks like you. Both compare only with your own kit, never search across other people, and run on Mirai's systems, a cloud face-comparison service and an AI vision model. Separate image-safety checks look for unsafe content and whether a face is present, and compare no faces. The recipients list names each service and its country (Privacy Notice 6).
10.3A Argentina. For Argentine residents, Mirai stores no face template, embedding, adapter or private model. It reads your kit each time it makes content of you and keeps nothing face-derived afterwards (faceDataMode: perGeneration). This is the default for Argentine residents, and only your fresh signature can change it (clause 16.3). Your kit is still sent, for each generation, to the engines and processors that make content of you, some outside Argentina (Privacy Notice 6). That transfer relies on your express consent on the signing screen and on the AAIP's model clauses with each recipient (Ley 25.326 Art. 12).
10.3B Our optional video partner. Only if you tick its own box (videoPartnerConsent), Mirai shares your kit photos with our optional video partner. It runs a short live face check and keeps a reference of your face so it can make video of you for Mirai. This is Face Data. The partner uses it only to make content of you through Mirai, never to train models or for anything else. It acts on Mirai's written instructions as Mirai's processor, and Mirai answers to you for it as your data-protection law provides. It processes outside your country, where the recipients list shows. If you withdraw that consent in Settings, if your face sign-up is not approved, or if you close your account, Mirai instructs the partner to delete the reference within 30 days, and new video of you is made with another approved engine; clause 10.5's deadlines also apply. The partner keeps only the records the law requires it to keep, under its own privacy notice. Not ticking the box changes nothing else: your path, approval and earnings are the same. It is never offered to US persons (Terms §0.1A) or to residents of Argentina.
10.4 Nothing face-derived is computed before your signature and this box land. Frames captured earlier are plain photos, deleted within 24 hours if you do not sign.
10.5 Retention: deleted within 30 days of a Stop or of withdrawing your Face Data consent (clause 10.6), and in any case within 2 years of your last activity on Mirai (a licence of you sold to a buyer counts as activity, but Face Data is never kept more than 3 years after your own last interaction with Mirai); Texas and Washington, within 1 year after the purpose or this Licence ends, if sooner. Published in the Privacy Notice and the Biometric Data Policy.
10.6 Withdrawing it is one tap and works as a Stop. Withdrawing only the video partner consent (clause 10.3B) is its own tap and is not a Stop.
10.6A US rules on Americans' sensitive data. Mirai follows the US Justice Department's rules on access to Americans' sensitive data (28 CFR Part 202). No company or person those rules restrict gets access to a US person's kit, Face Data or other data beyond what the rules allow. No affiliate named under clause 1.2 ever does. Mirai treats you as a US person (Terms §0.1A) if any signal says you live in the United States or a US territory, or if you answer yes to "Are you a US citizen or US permanent resident?" when you sign up.
11. AI training: see Part 3
AI training is not part of this Licence. It is governed only by the separate, optional AI Training Licence in Part 3. Earlier references to this clause read as follows: 11.1 and 11.3 are clause T3; 11.2 is T2; 11.4 is T4; 11.5 is T5; 11.6 is T7; 11.7 is T6 and T8.
12. Other consents, each its own act
12.1 Personal use by others is a switch, off. Its label says that you earn 80% of the personal-use fee for each creation (clause 8.2A). Friend cameos: a friend can put you in a film with your approve tap on that cameo, even with the switch off; each person shown consents with their own approve tap. Mirai's advertising featuring you is a switch, off, with your approve tap per image. Switching it off stops new ads; ads you approved may keep running. On the Licensed Model path you can pause paid licensing.
12.2 Posting autopilot: a card per connected account; every post carries the paid-partnership label, "#ad" where paid and an AI label, by code.
12.2A Competitions: the "Enter" tap, per entry, or your approve tap on an entry that shows you. Either is your consent to that entry's use in the competition (Terms §7.1). An entry that shows you goes public only after you approve it, and you can withdraw it before judging closes. If it wins, you share the prize as the competition's rules say, and once everyone shown has approved it you get that competition's cast pass, if it has one (Season 0 rules §5B; Terms §7.3). A competition's rules may also let you give another member a cast pass, by saying Yes to their cast invite before any film is made; it covers personal use only, and you can end it at any time (Season 0 rules §5B).
12.3 Voice: its own card and signature. Your voice is used only in content of you that this Licence allows: your own films and, on the Licensed Model path, licensed videos of you. You can withdraw it in Settings or by email, and no new content uses it after that.
12.4 Partners: those named at signing are in the grant [C: each after your Allow tap]. A new one: [US] 30 days' notice with a one-tap decline; [everywhere else, including Latin America and the Philippines] only after your Allow tap.
12.5 Records shown: the ledger row (pseudonymous ID, use, term, territory, partner, revocation state) may go to buyers, partners, insurers, regulators and an acquirer under NDA. Never kit or Face Data.
12.6 Electronic records: as the assent sentence says; withdraw that consent at legal@mirai.inc.
13. Ownership
13.1 Likeness Content is Mirai's under clause 2. Your Creations and Platform Assets are Mirai's as Terms §5 sets out, with your licence back. The Private Likeness Model's weights are Mirai's, subject to this Licence and deleted at a Stop; the data about you inside them stays yours.
13.2 Mirai never owns your face, voice, name, body or right to work anywhere.
14. Sale of Mirai; death
14.1 Mirai may assign this Licence, with your Record, the ledger and Likeness Content, only in whole, to an affiliate or a successor running the platform. Never as a data sale. You get notice first with a one-tap Stop. A sale of Mirai's shares moves nothing and is not an assignment; we still tell you.
14.1A Financing. Mirai may give a lender security over its rights in Likeness Content and its licence income. Anyone who enforces that security takes those rights subject to this Licence, including your 80%. Never over kits or Face Data.
14.2 The successor is bound by every protection here and by the Privacy Notice. You cannot assign this Licence.
14.2A Texas. If a sale would move Face Data to a different company, Texas residents' Face Data is deleted before it moves, and the new operator rebuilds it from your kit only after your fresh face-data consent.
14.3 On death, new content ends. Existing Likeness Content and sold licences continue and pay your estate. This Licence binds your heirs and estate, and is your consent under any law on the use of a person's likeness after death.
15. Sublicensing and custody
15.1 Only to: processors; buyers under Terms Schedule B (including a client named on a licence record that its agency bought), and the agencies, production companies, printers, media and retailers they use for the licensed campaign; Platform Partners under the Partner Agreement, and their end buyers on terms no wider than Schedule B; and affiliates and successors. Always inside the Purposes, Your Rules and your switches. No data brokers. A sublicence already granted survives a Stop and the end of this Licence for its own term.
15.2 API partners never hold your kit. A hosted-model partner may hold a per-person adapter only as Mirai's property and processor, not mergeable, deleted with a certificate at a Stop. Our optional video partner holds a face reference only as clause 10.3B says. Texas and Washington Face Data stays on infrastructure Mirai controls.
16. Changes
16.1 This version is frozen (licenceVersion). Publishing a new version never signs you up to it: changes reach you only as clauses 16.2 and 16.3 say.
16.2 By notice, only for a listed reason: new law or regulator; security; an engine or processor meeting the published standard; a same-kind feature inside Purposes 1 to 5; new licence products, durations or territories inside Terms Schedule B's caps; a payout rail or threshold; the Generation Fee rate card; a new partner under clause 12.4; an affiliate as seller or payer. Thirty days' notice and a logged "Continue" tap; the prior version applies until then. A change that a law or regulator requires, that only narrows others' rights or improves yours, or that clarifies wording without changing a right applies after 30 days' notice without a tap, or sooner if the law requires. Silence and use are never acceptance of any other change. Your answer to an unwanted change is a free Stop. India and Indonesia: a tap for every change.
16.3 Only by your fresh signature: a new Purpose or kind of use; voice or a new media class; Create only to Licensed Model; a partner receiving your kit; a weaker engine standard; a longer new-content term, or a longer pre-approved licence in Rows C and D; any change to clause 3.3 or 3.4; a worse law or forum; weakening clauses 6, 7.4, 10 (including 10.3A), 13.2 or 20.3. Changing the 80% for you: never.
16.4 Where the consumer law of your country sets stricter rules for changing a contract, those rules apply. Changes to this Licence never change the AI Training Licence (clause T10), and the reverse.
17. Law and disputes
17.1 Delaware law. Your home law decides your image, personality and data rights, and nothing removes a protection you cannot give up.
17.2 US residents: individual AAA arbitration as Terms §19.2 sets out. You and Mirai each give up the right to go to court, and to a jury trial, for these disputes. Outside it: small claims, California public-injunction claims, complaints to any regulator (including the New York Department of Labor), court orders to stop misuse of a face, data or IP, and any claim the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act lets you take to court. No class actions. One email opt-out within 30 days of the later of accepting the Terms or signing this Licence covers both. Buyers and Platform Partners may rely on this clause for claims about a licence Mirai sold, except a claim that they used it outside that licence.
17.3 Everyone else: your home courts; no arbitration or class waiver; Mirai sues you only there.
18. Language
The language you signed in controls (locale), including the flow language in California. You sign in your own language where Mirai offers it. In a Spanish- or Portuguese-language country, Mirai opens signing this Licence and adding your own face only once the certified legal translation of this Licence, the signing screen and the other documents in Terms §20.1 is live in that language. Using Mirai and its free faces does not wait for it.
19. Age
19.1 Minimum 18, or the age of majority where you live if higher (for example 19 in Alabama and Nebraska, and 21 in Mississippi, Puerto Rico and Honduras). The Verified Human Check (Terms §0.1A) proves a unique human, not age, so paid licensing, partners and training open only with an age credential (a document check or the payout provider's verified birth date). [Brazil] Adding your kit also needs an age signal you did not type yourself (Terms §3.2).
19.2 Discovered minor: this Licence is void, including clause 2; all use stops at once; Likeness Content of the minor comes down and is never licensed; sold licences are revoked and buyers told to stop under Schedule B; kit and Face Data are deleted within 30 days. Earnings already paid are never taken back. Earnings still held, less refunds of void licences (Terms C6), are paid to a parent or legal guardian on proof, or to the person on reaching the minimum age, whichever comes first.
20. Promises and liability
20.1 You promise what the age and identity box says, and to verify identity when asked.
20.2 Mirai indemnifies you against third-party claims from buyers' or partners' out-of-scope use, Mirai's breach, or unauthorised disclosure of your kit or Face Data.
20.3 Uncapped: Mirai's own misuse of your likeness or Face Data, gross negligence, fraud, and anything the law bars limiting.
20.4 Capped for a third party's misuse at the greater of US$25,000 and 3 times the Likeness Fees earned on you in the 24 months before the claim. [C] The cap covers only slight negligence and is never below the damage typically foreseeable when you signed. [D] No cap. The Terms' general cap never applies to your likeness. Your indemnity covers only breach of clause 20.1, as your law allows.
20.5 You are never liable under a buyer or partner indemnity.
21. The Record
Your signature (Terms §0.1A) covers a payload with one field per choice (the signing screen). In a Partner App your wallet signs it as an EIP-712 message; on the web Mirai records the same fields with your typed name and tap. Mirai keeps it, the rendered screen and every later event append-only; after deletion, hashes and metadata only. You can download it. For Argentine residents the Record also holds a hash of your legal name (legalNameHash).
22. Release v3 signers
Release v3 promises ("never used to train", "no persistent copy") hold until you sign this Licence yourself, and the promise never to train holds until you sign Part 3 (clause T12). Until then: no Private Likeness Model, Licensed Model status or partners. Terms §19.6 sets how the SIAC clause you signed applies: Mirai never uses it against an individual. Signing this Licence brings content made under v3 into clause 2, and the re-sign screen says so in its first line.
23. Jurisdiction Schedule
23.1 Your row is set by the stricter of your declared residence, your connection's country and state at signing, and the address the payout provider verifies.
| Row | Who | Licensed Model | New content | Mirai's content licence | Licences sold | Forum |
|---|---|---|---|---|---|---|
| A | US outside NY, CA and IL; the Philippines. Applies when own-face sign-up opens in that market (23.8) | Equal choice; 2-year renewals. Washington: Create only at launch (23.7) | 2-year renewals | Perpetual, as far as law allows | 6, 12 or 24 months; 10 years by per-deal tap | US: AAA. Philippines: home courts |
| B | New York, California. Applies when own-face sign-up opens for US persons (23.8) | California: fixed 2 years; renew by signature; leave any time. New York: Create only at launch (23.2) | Fixed 2 years; renew by signature | As A (New York: clause 23.2) | 6, 12 or 24 months; 10 years by per-deal tap; New York per approval card once open | AAA with carve-outs |
| C | EU, EEA, UK, Switzerland; Hong Kong. Not served at launch (23.5) | As D | As D | As D | As D | Home courts |
| D | All of Latin America. Colombia: applies when own-face sign-up opens there (23.8) | Equal choice; until you leave | Until Stop | 10 years per item, renewable | 6, 12 or 24 months; 10 years by per-deal tap | Home courts |
At launch Mirai serves only Rows A, B and D. Row C, and every country in no row, is geo-gated (clause 23.5). Inside Rows A, B and D, own-face sign-up is paused at launch for US persons and in Colombia and the Philippines (clause 23.8), so at launch the only row anyone signs is Row D, outside Colombia.
23.2 New York at launch: Create only. No Licensed Model path and no commercial licensing until Mirai switches on the approval-card path below, after counsel confirms Mirai's position under the Fashion Workers Act. Mirai's content licence for a New York resident is as Row A. New York once switched on: approval mode is always on, so each licence is your tap on a card naming brand, use, rate and duration, which is your clear written consent to that licence, the record the brand keeps (Terms B17). Either way, if the Fashion Workers Act is found to apply to Mirai and to require a fixed duration for Mirai's content licence, it runs for each item for the longest period the Act allows and renews by your tap.
23.3 Savings clause. If you in fact live in New York or California, Row B applies to you from the start, whatever you declared, and clause 5.2 never applied to you. If you live in Illinois, clause 23.6 applies from when Mirai learns it. If you live in New York or Washington while licensing is closed there, you are Create only from when Mirai learns it (clause 4.7). If any other law where you live voids a clause of this Licence for you, only that clause falls (for exclusivity, clause 4.4A) and the rest stays. No re-signing.
23.3A New Jersey. No clause of this Licence is void, unenforceable or inapplicable for New Jersey residents. Every clause applies to them as written.
23.4 A stricter row applies at once; a looser row's wider terms need a fresh signature.
23.5 Not served at launch (geo-gated, shown as "coming soon"): Row C (the EU, EEA, UK, Switzerland and Hong Kong); mainland China; India, Indonesia, Japan, Korea and Thailand; and every other country outside Rows A, B and D. Row C's terms stay in this Licence, dormant, until Mirai opens those markets. Each other market, when it opens, takes Row C's shape; Korea and Thailand add a confirm sheet. Nobody in a country or region under comprehensive US sanctions is served (Terms §22.4A).
23.6 Illinois: creator-only. No kit, Face Data, Likeness Content of the resident, licensing, partners or training. Nobody can add or upload a face while connecting from Illinois, or on an account whose declared or connection state is Illinois, on any Mirai surface, including business and partner tools.
23.7 Texas, Washington: one Sign button; no training, dataset or partner adapter; Face Data stays on infrastructure Mirai controls. Washington at launch: Create only. No Licensed Model path and no commercial licensing until Mirai switches on the approval-card path below, after counsel confirms it under the My Health My Data Act. Washington once switched on: a confirm sheet asks separately to share your content with others (gallery, cameos, partners); each commercial licence waits for your approval card naming buyer, use, rate and duration, which is also your authorisation to sell, valid for one year.
23.8 Own-face sign-up paused at launch. US persons (Terms §0.1A), and residents of Colombia and the Philippines, cannot sign this Licence or add a kit at launch. They can create with Mirai's free faces, or with no person. Their rows stay in this Licence, dormant, and apply when own-face sign-up opens in their market; clauses 23.2, 23.6 and 23.7 then apply. If Mirai learns after you sign that you are a US person or live in Colombia or the Philippines, new content of you pauses at once, and your kit and Face Data are deleted within 30 days, until own-face sign-up opens for you. Existing Likeness Content follows clause 7 and keeps paying you. Nothing you earned is taken back.
Part 3. AI Training Licence (optional)
Not offered at launch. Until Mirai announces that it offers this Training Licence, the signing screen shows one Sign button and no training choice, and nobody signs this Part. It stays here, dormant, so the terms are known before it is offered.
A separate, optional contract between you and Mirai. Once it is offered, you sign it only by tapping "Sign and include AI training" on the signing screen, or later on a training card. Words defined in Part 2 (Likeness Content, kit, Face Data, Stop, Record) mean the same here.
T1 What this is. This AI Training Licence is its own agreement, with its own grant, money, term, recipients and change rules. It is not part of the Likeness Licence and is never a condition of it, of joining Mirai or of being paid. Mirai is not training today. This Training Licence stays dormant until Mirai announces a first run under T4.
T2 The grant. While this Training Licence runs, you grant Mirai, its affiliates and successors a non-exclusive, worldwide licence to use your kit, recordings and Likeness Content of you to train, fine-tune and test AI models that generate likeness-faithful images and video of many people, now or later, and to license datasets of images, video and captions that include you. Content that also shows someone else is used only if they signed this Training Licence too.
T3 Its own act. On the signing screen, two equal buttons in random order, with no default, sign the Likeness Licence with or without this Training Licence (training, buttonOrder). If you signed without it, Mirai may offer it later on one card that carries this Part 3 in full, signed with your signature (Terms §0.1A). That card adds this Training Licence alone and changes nothing in your Likeness Licence. Tapping "Sign and include AI training", or signing that card, is your explicit consent to the use in T2.
T4 Named recipients only. A partner or dataset licensee gets your data for training only if named in the Privacy Notice when you signed, or after your Allow tap on a card naming it. This applies to every holder and sublicensee under T9. Every run is announced 14 days ahead, naming the model and the partner, with a one-tap "Not this one".
T5 Training Royalty: 50% of what Mirai, or a holder under T9, receives for your part of a model or dataset licence, or of a model used for money, by the Terms Schedule C formula. The rate is fixed at 50% and does not change for you. Nothing is owed until money is received, and payouts follow Part 2 clause 9. California residents get a Notice of Financial Incentive first, with the 50%, the formula and a good-faith estimate of value.
T6 Term. This Training Licence runs from your signature until you switch it off, you Stop under the Likeness Licence, or Mirai closes the platform.
T7 Switch-off or Stop. Switching off is one tap in Settings, any time. Then: runs stop; within 30 days you leave every training set and dataset, even though Mirai owns the content, and licensees delete and certify; existing models are blocked from generating you by name and face match; each model trained with you is retrained or unlearned at its next cycle and within 12 months, unless testing shows it cannot reproduce you or reveal your data. T5 keeps paying on money received for models and datasets that still included you. T5, T7, T9 and T11 survive. On again needs a fresh signature.
T8 Never: face templates or adapters in a dataset; identification, surveillance or classification models; open weights. Texas, Washington and Illinois residents, and anyone under the minimum age, are never trained on.
T9 Assignment and sublicensing. Mirai may assign this Training Licence, or sublicense it, separately from the Likeness Licence and from the rest of its business, to an affiliate, a successor or a buyer of its training business. Each holder is bound by all of Part 3 and owes the Training Royalty; Mirai stays responsible for royalties earned before the move. A new holder or sublicensee gets your data only under T4. If you do not allow it, your data stays with Mirai. Any holder, sublicensee or dataset licensee that receives data about a US person must promise in writing never to pass it on to a country of concern or a covered person under 28 CFR Part 202 (§202.302), and to tell Mirai within 14 days if it learns that this has happened.
T10 Changes. This Part changes only by its own rules. A change that a law or regulator requires, that is needed for security or payout mechanics, that clarifies wording without changing a right, or that only improves your position applies after 30 days' notice. Everything else needs your fresh signature, including any new kind of model or dataset, a recipient outside T4, and any change to T8. The 50% never changes for you. Silence and use are never acceptance. India and Indonesia: a tap for every change. A change to the Likeness Licence never changes this Part, and the reverse.
T11 Separate and severable. The Likeness Licence (Parts 1 and 2) and this Training Licence are separate contracts signed in one flow. If either is void, unenforceable, ended or changed, the other is not affected. The definitions in Part 2 and its clauses 1, 9, 12.6 and 17 to 21 and 23 apply to this Part as if written here, and keep applying even if the Likeness Licence ends or is void.
T12 Release v3 signers. Release v3's promise that you are never used to train holds until you sign this Training Licence yourself.
Version 5.3, 22 October 2026.
