Mirai Platform Terms
With Schedule A (Community Standards), Schedule B (Buyer Licence Schedule), Schedule C (Payouts and Rates) and Schedule D (Change Rules).
Version 5.3 (launch edition). Dated 22 October 2026.
v5.3 change note: one rule for every channel (how you sign and which human check vary, nothing else); Latin American moral rights kept; Brazil age signal; fairer competition, refund and dispute lines; Release v3 arbitration never used against an individual (R17).
0. Accepting these Terms
0.1 These are the rules for using Mirai. "Mirai" and "we" mean the company in §1. "Protected Countries" means the European Union, the EEA, the United Kingdom, Switzerland and every country in Latin America.
0.1A Words we use. These words mean the same in these Terms, the Likeness Licence, the Privacy Notice and Mirai's policy pages.
- Verified Human Check: the check that shows you are one unique human. In a Partner App, it is the privacy-preserving check run by our identity-verification partner. On the web, it is another check of equal strength that Mirai accepts [to be added]. It proves a unique human, not your name or age, and it is not an age credential (§3.2). From our identity-verification partner, Mirai receives only the result, your verification level, a code unique to you and Mirai, and any yes-or-no minimum-age proof, never your name, documents, birth date or the biometric data the partner collects. Privacy Notice section 3 says what Mirai receives from a web check.
- Your signature: how you sign the Likeness Licence and any other choice that needs a signature. In a Partner App, it is a signature from your connected wallet over the signing message. On the web, it is your typed full name with your tap on the sign button. Either one is your electronic signature and your signed writing (§15.3).
- Partner App: another company's app through which you can use Mirai, such as an app in which Mirai runs as a mini app. Its operator runs it under its own terms. A Partner App is not a Platform Partner (an app that shows Mirai content under a Partner Agreement).
- Partner App payments: payments you make inside a Partner App with that app's own payment system, in a stablecoin such as USDC.
- Your connected wallet: the digital wallet you connect to Mirai, such as the wallet in a Partner App. In a Partner App you sign with it. You do not need one on the web.
- Mirai's free faces (also called house faces): AI-made faces that show no real person, which Mirai offers for anyone to create with.
- US person: anyone who lives in the United States or a US territory, or who is a US citizen or US permanent resident, wherever they live. We treat you as one if any signal says so, or if you tell us so when you sign up (Privacy Notice 6.4).
0.2 You accept these Terms on the first-open screen, which reads:
Welcome to Mirai. By tapping Continue you agree to the [Platform Terms] and confirm you are an adult (18, or older where your law says). [Outside Protected Countries: You can always use what you make on Mirai on your own channels, free, including posts you earn from. Mirai owns it.] [Protected Countries: You keep what you make with no real person in it, and Mirai may show and remix it. Content that shows a real person is Mirai's.] Our [Privacy Notice] explains how we use data. [US: Disputes go to individual arbitration, not class actions. You can opt out within 30 days.]
[Continue]
The sentence sits directly above the button, at body size, with both links underlined and in the link colour. We log the tap, the version, the language and the time.
0.3 To add your own face you also sign a separate contract, the Likeness Licence (v5.3), with your signature (§0.1A). The separate AI Training Licence (Licence Part 3) is not offered at launch; when it is, you sign it only if you choose. On anything about your likeness, the Licence wins over these Terms (§10). These Terms never widen it.
0.4 Buyers accept these Terms at sign-up. Schedule B, as it reads on the day of purchase, is copied into every licence record.
0.5 The Privacy Notice is a notice, not a contract. Its version is logged with your tap.
1. Who you deal with
1.1 Your contract is with Mirai Talent Inc., a Delaware corporation, file 10680377, registered office 2810 North Church Street, Wilmington, DE 19802, USA, doing business as Mirai at mirai.inc.
1.2 "Mirai" includes its affiliates and any successor that takes over running the platform (§22.2).
1.3 A non-US affiliate, only when live. We may add a Mirai affiliate outside the United States to sell licences and pay earnings for use outside the United States. We will name it, with its address, by 30 days' notice under Schedule D, and only once US rules on access to Americans' data allow it. It never holds face data or data about US persons. Mirai Talent Inc. stays responsible for every promise. None is named at launch.
1.4 Contact. Legal, privacy, takedown and Stop: legal@mirai.inc. Other: info@mirai.inc. We answer in English, Spanish and Portuguese. Before Mirai serves the EU, EEA or UK, we name here our representatives there and our Digital Services Act contact, and add the notices those laws require.
1.4A Partner Apps and our identity-verification partner. Each Partner App, its Partner App payments and wallet, the Verified Human Check, and the blockchains that payments and payouts use are run by other companies under their own terms. They are not party to these Terms and are not responsible for Mirai.
1.4B Where Mirai is offered at launch. Mirai serves the United States, Latin America and the Philippines. It does not yet serve the EU, the EEA, the UK, Switzerland, Hong Kong, mainland China, India, Indonesia, Japan, Korea, Thailand or any other country; they see "coming soon". Nobody in a country or region under comprehensive US sanctions is served (§22.4A). A clause that names a market Mirai does not yet serve applies only once Mirai opens that market.
- Your own face, at launch. US persons, and residents of Colombia and the Philippines, cannot sign the Likeness Licence or add their own face at launch. They can create with Mirai's free faces, or with no person in it (Licence 23.8). Clauses about their own face apply when own-face sign-up opens in their market. Release v3 signers keep the terms they signed (Licence 22).
- Illinois. Nobody can add or upload a face while connecting from Illinois, or on an account whose declared or connection state is Illinois, on any Mirai surface, including business and partner tools (Licence 23.6).
- When own faces open for US persons, New York and Washington residents can create with their own face but cannot be licensed commercially (Licence 23.2, 23.7).
2. One human, one account
2.1 Mirai uses the Verified Human Check (§0.1A). One verified human may hold one account. The check proves you are a unique person, not your name or age.
2.2 No second, shared or sold accounts. If one human has two, we keep the older.
2.3 Trust levels. Automated checks set a trust level when you join and as you use Mirai. Trust levels and sign-up decisions are made by automated checks, and Mirai's staff may review or decide any of them. There is no waitlist. Trust levels change limits (including free credits), competition eligibility and discovery. They never change your 80% or any Schedule C rate. You can see yours in Settings and ask for human review (§11.6).
2.4 Residence. We ask where you live (and your US state) and record your connection's country. If they disagree, the stricter rule applies. Keep it current in Settings. We may also update it from your first-withdrawal address.
3. Age
3.1 Mirai is for adults only. You must be 18, or the age of majority where you live if it is higher: for example 19 in Alabama and Nebraska, and 21 in Mississippi, Puerto Rico and Honduras.
3.2 The Verified Human Check does not prove age. Paid licensing, partners and training open only with an age credential: a document check or the date of birth the payout provider verified. In Brazil you can add your own face only after an age signal you did not type yourself: the in-person level of the Verified Human Check, an app-store signal that you are 18 or older, or a document check (Lei 15.211/2025, the ECA Digital).
3.3 If we learn an account belongs to a minor, we close it, stop every use of that person's face at once, delete their kit and face data within 30 days, and tell every buyer and partner that the licence is void and must stop (Schedule B13).
3.3A A minor's money. We refund purchases a minor made, as the law requires. Earnings already paid are never taken back. Earnings still held, less refunds of void licences (Schedule C6), are paid to a parent or legal guardian on proof, or to the person on reaching the minimum age, whichever comes first (Licence 19.2).
3.3B Tell us. Anyone, including a parent, can report a possible minor with the Report button, on our Report and remove page, or at legal@mirai.inc. We act at once.
4. Your choices are settings
4.1 Your path (Licensed Model or Create only), price, excluded categories, blocked brands, personal use, partners, posting autopilot (§12A) and training are settings or signed fields, not documents. Each change is one tap and is logged. A change applies to what happens next, never to licences already sold.
4.2 Narrowing settings take effect at once. Widening what anyone may do with your face needs your fresh signature (Schedule D3).
4.3 Export your creations from Settings at any time.
5. What you make on Mirai
5.1 Your Creations are everything you make on Mirai, or with Mirai's tools, that shows no real person and uses no licensed character: formats, presets, prompts, scripts, original characters, assets, remixes and every output. Content that shows a signed person is Likeness Content (§5.1A). Output made with a licensed character is a Character Output (§5.1E). Content you bring in from outside Mirai is covered by §5.5A.
5.1A Likeness Content is Mirai's. Likeness Content is every image, video and other output that depicts a signed person, or is generated from their likeness, through Mirai or its partners, whoever prompted it (Licence clause 2). Mirai owns it outright. You assign to Mirai each item of Likeness Content you make, as it is made, with every right you have in it. In Brazil, this assignment covers items you make within 5 years after you accept these Terms, and each later acceptance of these Terms starts a new 5 years (Lei 9.610 Art. 51). The create screen reminds you of this before you make content with a person in it. The person shown keeps a licence to use content they made of themselves, and cameos they appear in, on their own posts and channels (Licence 2.6).
5.1B Your Creations are Mirai's too. You assign to Mirai each of Your Creations, as it is made, with every right you have in it, worldwide. This covers Your Creations made after you accept this version. Earlier ones stay under the terms you accepted then. §5.1D sets the rule for consumers in Protected Countries.
5.1C Where the law limits assignment. Where your law does not allow an assignment (for example author's rights in Germany, or future works in France), you instead grant Mirai, for each item as it is made, an exclusive, worldwide, transferable and sublicensable licence, for the full legal term of the rights, to reproduce, adapt, edit, translate, distribute, show, perform, communicate and make available to the public that item, in every medium and format. Outside Latin America, you waive your moral rights in it where your law allows and, where it does not, you agree not to assert them against uses these Terms or the depicted person's Licence permit. In Latin America you keep your moral rights, because your law does not let you give them up, and Mirai never changes an item in a way that harms your honour or reputation. Everywhere, Mirai credits your handle where §5.4 says.
5.1D Consumers in Protected Countries. If you use Mirai as a consumer and live in a Protected Country, §5.1B does not apply to you.
(a) You keep whatever rights exist in Your Creations.
(b) You grant Mirai a non-exclusive, worldwide, free, transferable and sublicensable licence to host, store, reproduce, adapt for display (crop, resize, compress, caption, translate), show and distribute Your Creations, and make them remixable, on Mirai and its partners' apps; to show them in the gallery, charts, competitions and showcases; and to promote Mirai with them on its own channels.
(c) Mirai licenses one of Your Creations to a brand or other business only with your yes, on terms shown to you first.
(d) The licence lasts while the Creation is on Mirai, and for 30 days after you delete it (90 days in backups). Copies already inside other users' remixes, and copies delivered under a licence already sold, survive.
(e) §5.1A and §5.1C still apply to Likeness Content you make, and §5.1E to Character Outputs.
5.1E Character Outputs. Some characters on Mirai belong to other owners, who license them to Mirai ("licensed characters"). Any output made with a licensed character is a Character Output. Not offered at launch: Character Studio, where licensed characters are used, is closed to the public at launch. This section and Schedule B1A apply when Mirai opens it, and to any Character Output made before then.
(a) Mirai owns each Character Output, to the extent rights exist in it, subject to the owner's rights in the character. Mirai may license it back to the character's owner, including exclusively where the owner adopts it into the character's official canon. Design elements the owner adopts become part of the owner's character. The owner may also use Character Outputs in its own channels, and may have any of them taken down.
(b) You assign to Mirai any rights you get in a Character Output, as it is made, as §5.1B says (with §5.1C where the law bars assignment), in every country.
(c) A Character Output that shows a real person is also Likeness Content (§5.1A). Both rulebooks apply, and the stricter wins.
(d) Your rights in a Character Output are only what your licence record says: personal use, or the licence you bought (Schedule B1A). §5.3's licence back does not cover licensed characters.
(e) You get no rights in the character itself. Follow the character's rules shown when you use it.
5.2 AI content and copyright. AI-made content may carry no copyright. These Terms and each Likeness Licence govern its use either way, and Mirai controls Your Creations and Likeness Content as these Terms say.
5.3 Your licence back. Mirai grants you a free, perpetual, worldwide, non-exclusive licence to use Your Creations:
- on your own accounts and channels, including posts you earn money from and your own sponsored posts;
- in your portfolio;
- for personal use;
- to reuse your own prompts, scripts, original characters and formats in your own new work, on or off Mirai, without paying anyone; and
- if you are a business user, in your own business's channels and the ads it runs, and in work you deliver to your clients (§5.3B), subject to §5.3C.
For Likeness Content you made, your licence is what your licence record says: personal use, or the licence you bought (§8, Schedule B). The person shown keeps their own licence back (Licence 2.6). Your licence back survives closing your account. It is personal to you, except as §5.3B allows and except that a business user's licence back passes with the whole business. You may not otherwise sell, sublicense or transfer it, put Your Creations in a dataset, use them to train any AI system or build a likeness model elsewhere, register them as a trademark or design, or remove a label. Anyone else who wants to use Your Creations, including a brand that wants to boost or whitelist your post, needs a licence from Mirai.
5.3A Improving Mirai. Mirai may use Your Creations, prompts, metadata and how you use features to run, secure and improve Mirai. Mirai does not use Your Creations to train AI models. Before it ever does, it changes these Terms under §21 and gives you a switch in Settings to keep yours out. A face, voice or likeness enters training only under the separate AI Training Licence (Licence Part 3).
5.3B Client work. A business user with a paid plan (a Business plan under §14I or, for a one-person business, an active Launch Pass or a credit pack bought in the last 30 days) may deliver Your Creations made for a client to that client, which then has §5.3's business licence for that work in its own channels and ads. Mirai keeps ownership. Neither of you may sell the work as stock, put it in a library or dataset, or use it to train AI. Likeness Content and Character Outputs reach a client only under a licence record naming it (Schedule B1).
5.3C Larger businesses. If your business, with its affiliates, had more than US$1,000,000 of gross revenue in its last financial year, the business uses in §5.3 and §5.3B cover only Creations made while it held an active Business plan (§14I). Creations made under a plan keep those rights after the plan ends. You declare it under §13A.1A and keep it current. Personal use, your own accounts and your portfolio are never affected.
5.4 What Mirai does with them. As owner, Mirai may show, remix, adapt, distribute, sell and license Your Creations and Likeness Content on any surface, inside the depicted person's Licence where a person is shown. Your handle stays on each of Your Creations, and on every remix of them, as its source. Mirai pays creator rewards and the format pool as published (Schedule C4A). Unpublishing a Creation takes it off your profile and stops new remixes by other users. Mirai keeps its rights, and may enforce them in its own name and at its own cost against anyone who copies or misuses Your Creations or Likeness Content. If Mirai asks, you confirm its rights in writing, free. For business users, Schedule B6A (materials and confidentiality) also applies to Your Creations.
5.5 Remixes. Publishing a format lets other users remix it on Mirai, with their own face or a face that allows it (§5.4 keeps your handle on it). A remix is a new Creation, or Likeness Content if it shows a person, and belongs to Mirai like any other.
5.5A Content you bring in. You keep what you upload from outside Mirai, such as your own photos of things, product shots, logos, music, or text written elsewhere. You grant Mirai a non-exclusive, worldwide, free, sublicensable licence to host, process, adapt and show it to make and deliver what you ask, to show outputs that include it, and to keep it in copies already inside remixes and sold licences. You promise you have the rights to upload it. Outputs made with it are Your Creations or Likeness Content, but Mirai gets no rights in your upload beyond this licence. Photos of people are governed by §6 and the Likeness Licence, never by this clause.
5.6 Faces are different. Nothing in this section covers anyone's face, voice, name or likeness, which only that person's Likeness Licence governs. A Stop works as §6.4 says.
5.7 Platform Assets belong to Mirai to the extent rights exist: Your Creations and Likeness Content (subject to §5.1D); Character Outputs (subject to their owners' rights in the characters); kits as assembled, canonical images, character sheets, private likeness models and any adapter or weights (always subject to the person's Licence and deleted when they stop); Mirai's own renders; outputs made for buyer licences; the format pool; metadata; the ledger; consent records; provenance data; likeness scores; usage data; de-identified aggregates; Mirai's software and marks. Mirai never owns anyone's face, name or identity.
5.7A De-identified data. Mirai may make and use de-identified and aggregated data, such as trends, demand and prices, for any purpose, including sharing it with partners and investors. It never identifies you. Anyone who receives it must promise, as Mirai does, never to re-identify anyone.
5.8 Ideas. Send us ideas freely. We may use them without paying you.
5.8A Your reviews. Nothing in these Terms or the Likeness Licence stops or penalises you for reviewing, rating or commenting on Mirai, its buyers or partners, or anyone's goods or services, in any medium. Wherever these Terms take rights in what you make or upload (§5.1A to §5.5A, §7A.4), including Character Outputs, they take no ownership of, and no exclusive rights in, such a review or in feedback you send us, even if it is Likeness Content or one of Your Creations. Mirai takes only a non-exclusive licence to show it on Mirai, and never enforces its rights against it (Licence 2.8B).
6. Other people's faces
6.1 Only consented faces. You may make content of a real person only if they signed a Likeness Licence and your use is inside their switches and their Rules (Likeness Licence 3.2). Mirai checks live consent before every generation and display. If it fails, nothing runs or shows.
6.2 No outside faces. You may not use a photo, video, description or name of a real person who is not a signed Mirai user, including public figures, and yourself if you have not signed. Our checks refuse such inputs: an upload that shows a human face is refused unless it is part of your own kit. That check only detects that a face is present. It builds no template and compares the face with no one. Mirai never builds or keeps a face template of a person who has not signed. A photo that fails a check is discarded, unless the law requires us to keep and report it.
6.3 Personal use and cameos. If a person turned on "Friends and others can create with me for personal use", you may make personal, non-commercial content with them, such as cameos and remixes, inside their rules. With the switch off, you may put them in a cameo only after they approve it. You pay any Generation Fee or credits to Mirai, and the personal-use fee for each person shown. The person gets 80% of that personal-use fee, the same share as on a commercial licence. Anything commercial needs a licence under §8, and only people on the Mirai Licensed Model path can be licensed commercially.
6.4 After a person cancels future content (a Stop), no new content of them is made. Existing Likeness Content stays up unless they use a home-law withdrawal right (Licence 7.4). It then comes down within 14 days on Mirai and within 72 hours at partners.
6.5 Engines. Mirai chooses the engines that make content by feature, quality and law, and the choice can differ by where you live. Our live list, Who receives your data: processors and recipients, shows which engines are used. Every engine meets the published standard (Schedule D). The face of a US person never goes to an engine, face check or partner developed or run by a company based in, or controlled from, China (including Hong Kong) or another country of concern (Privacy Notice 6.4).
7. Gallery and competitions
7.1 Entering. Tapping Enter posts your entry to Mirai's gallery. It is your consent for your likeness in the entry to be used in the competition: shown, judged (including by an AI judge, §7.2), voted on where the rules allow and, if it wins, announced. Everyone shown agrees first. If the entry shows another Mirai member, each of them gets an approval request for it, and their approval is the same consent. The entry goes public only when every person shown has approved it. Mirai's free faces need no approval. No purchase is ever needed to enter or win.
7.2 Judging is on skill. It scores the entry only (craft, originality, fit with the brief), never its views elsewhere, and never the entrant's looks, followers, sales or bookability. The rubric is published with each competition. Where an AI model scores, a human reviews the top entries and every disputed score.
7.3 Prizes are Mirai film credits, unless a competition's rules offer cash. Cash prizes are paid in USDC to your balance under Schedule C, only where cash is allowed (§7.4) and once a payout provider is live. A winning film's prize is shared with its cast. Each competition's rules say how it is split between the maker and each other member shown who approved the entry (the cast); Season 0 splits it equally. Every prize pool is stated in the competition's rules and fully funded before entries open, by a sponsor's payment to Mirai or Mirai's published budget. Each competition's rules can add to these Terms but never take away from them.
7.4 Where competitions run. We run a competition only where it is lawful, and only for residents of markets Mirai serves (§1.4B).
- In Brazil, winners get recognition only (a badge, a feature and the announcement), never cash, credits or goods, unless a competition's rules say a permit has been granted.
- In the Philippines, prizes need the trade department's permit for the promotion; until it is granted, winners there get recognition only.
- Each competition's rules list any other place whose residents win credits instead of cash, or cannot enter.
7.5 A brand-sponsored competition is an open call the brand publishes. Mirai picks no entrants for the brand.
7A. Competition rules
These rules apply to every competition, with the official rules page for each one, such as Mirai Season 0: Official Rules.
7A.1 Who runs it. Each competition names its sponsor (who offers and funds the prizes) and its administrator. The administrator is Mirai Talent Inc. unless the rules say otherwise. A sponsor pays Mirai to run the competition, and Mirai pays the prizes. Partner App operators, our identity-verification partner, Apple, Google, Meta, TikTok and X do not sponsor, run or endorse any Mirai competition, and are not responsible for it. [Outside Latin America: You release them from claims about it.]
7A.2 Who can enter. You must be an adult (§3), hold one account, pass the Verified Human Check at the level the rules state, and live where the competition is open. Mirai staff, judges, the sponsor's staff, and their households, cannot win. One entry per category per round, unless the rules say more.
7A.3 Free to enter. Each round, everyone eligible gets one free entry generation. Nothing you buy improves your chances or your score. Paid visibility, if offered, is labelled.
7A.4 Entries. Use only your own face, a face that allows it and approves the entry (§7.1), one of Mirai's free faces, or no face, and follow the category's cast rule and Schedule A. Anyone shown may withdraw the entry before judging closes. Make the entry on Mirai during the round. Entries are Your Creations or Likeness Content (§5). Mirai may show winning entries, with your handle, on Mirai and its own channels, including the winners' reveal. The winners' reveal on Mirai's own channels announces the result. It carries no offer, product claim or call to action beyond the competition. An entry that shows a real person appears in Mirai's advertising only if that person switched on "Feature me in Mirai's own advertising" and approved that image (Licence 12.1).
7A.5 Public votes. One vote per human, per category, per round. A vote is only an input, with the weight the rules state, and never more than 30% of the score. Trading or buying votes disqualifies.
7A.6 Winners. We announce winners on the date in the rules and check eligibility. If a winner is not eligible, or does not complete verification within 60 days, the prize goes to the next eligible entry or back to the pool for a later round. Appeals follow §11.6 and Schedule A7.
7A.7 Prizes and taxes.
- Prize values are in US dollars. Credit prizes show their value at current pack prices.
- Credit prizes go to your account within 30 days of the announcement and last at least 12 months from that day. They have no cash value and otherwise follow §14E.
- Cash prizes, where a competition's rules offer them, are paid in USDC to your balance within 30 days of the announcement (Schedule C5). You withdraw them under Schedule C7, after the tax step and sanctions checks.
- Mirai may swap a prize only for one of equal or greater value.
- Prizes are taxable, and taxes are yours. The payout provider collects your tax form (such as Form W-9 or W-8BEN) at your first payout. Mirai reports prizes of US$2,000 or more in a year to a US person on Form 1099-MISC; for anyone else, US tax may be withheld at 30% or a treaty rate and reported on Form 1042-S. Your home country may tax the prize too.
7A.8 Disqualification. Bots, more than one account, vote manipulation, bought views, faces without consent, removed labels, attempts to steer an AI judge, or any breach of Schedule A disqualify the entry, and we may withdraw the prize. You can appeal (§11.6).
7A.9 Posting elsewhere is never needed to enter. If you post your entry on another platform, keep the "#contest" tag or paid-partnership label the share screen adds, and follow that platform's rules.
7A.10 If something goes wrong. We change or cancel a competition only for fraud, a technical failure or the law. We then award the prizes among entries made fairly. A funded pool is never reduced after entries open.
7A.11 Winners list. Winners are listed, with their handles, on a public winners page for at least 12 months after each round (mirai.inc/competitions/winners). You can also ask at info@mirai.inc.
8. Buying licences
8.1 Mirai sells as principal. When you buy a licence of a person's AI likeness you buy a sublicence from Mirai under Schedule B. Your contract is with Mirai, not the person.
8.2 Price and fees. The Likeness Fee is the person's own price times the product factors in Schedule B. The person gets 80% of it. Mirai keeps the other 20%, its Platform Fee, inside the Likeness Fee. Nothing is added on top of the Likeness Fee for it, for any person, in New York or anywhere else. Every price we show includes the Platform Fee and any other mandatory fee. Checkout shows the Likeness Fee (and the person's 80%), the Generation Fee paid for the asset, and tax. Consumers see prices with tax included (§14H). Business buyers see prices before tax, with tax as its own line, and get an invoice naming the seller, the Licence ID, the place of use (Schedule B4) and their business and tax details.
8.2A Generation Fee. Each image and each clip anyone generates on Mirai carries Mirai's published Generation Fee, whether or not it shows a person and whether or not you then buy a licence. It is Mirai's price for its tool and is never shared with the person shown (Schedule C2A). Renders of a licensed character may carry a higher rate, shown before you generate; the character's owner is paid from it under its own agreement.
8.3 The record is the licence. You get a licence record with an ID, a verifier link, the scope, the purpose you declared, the price, the date and the consent state at generation, with Schedule B copied in.
8.4 Approval. Some people approve each licence (New York and Washington residents once licensing opens there), and every 10-year licence needs the person's per-deal tap (Schedule B3). Your order is held until they tap yes, and refunded if they say no or do not answer within 7 days.
8.5 API, hosted-model and resale use need a Partner Agreement. Brands and agencies buying at volume use a Business plan (§14I) or a Brand Order Form. Signature talent deals need a Signature Addendum.
9. Platform, not agency
9.1 Mirai is a technology platform. It is not a talent agency, model management company, casting service, manager or employment agency, and represents nobody.
9.2 Mirai does not match, pitch, submit or shortlist anyone for a buyer, negotiate, coach careers, write deal memos, hold a power of attorney, take a cut of outside work, or promise work or earnings.
9.2A Production services. Mirai may produce images, video, decks and campaigns for a business from its brief (for a price shown first), using only people the business chose itself in search (§9.3), or no person. Mirai never chooses, suggests or ranks people for it.
9.3 Buyers search with their own queries and filters. Results follow the ranking rules in §13.3, the same for everyone. Sponsored placement, if ever offered, is labelled.
9.4 Brands may publish open calls (clipping campaigns, competitions). Anyone eligible may join. The brand chooses whom to license by buying under §8.
9.5 We never describe Mirai or its service, in any language, as an "agency" or "casting", or with words such as "go-see", "book you" or "promote you".
9.6 Licensed Model exclusivity is a licence term, never representation (Licence 4.2 to 4.4A). A Licensed Model may have any agent or manager and do any other work. Mirai represents nobody, finds no work, sets no one's price, and takes nothing from work outside Mirai.
10. Which document wins
10.1 For a signed person, the Likeness Licence wins on their face, money, term, Stop and records, and the AI Training Licence wins on training. For a buyer, the licence record wins for that licence. A Signature Addendum, Partner Agreement or Brand Order Form wins for its signer only, and never widens a Likeness Licence.
10.2 Inside these Terms, a schedule wins where it is more specific. Schedule A can only narrow.
11. Moderation and safety
11.1 Checks. Every generation and Creation passes automated checks for Schedule A breaches, faces without live consent, mismatched reference photos, prompts naming non-signers and stripped labels, using classifiers, the signer's own kit, hash matching and the consent ledger. None looks at ratings, sales or volume.
11.2 A failed generation does not run, and you see why. A failed Creation is removed or hidden with a statement of reasons. Removal is only ever for a breach of Schedule A, these Terms or the law.
11.3 Notice and action. Anyone can report content with the Report button, on our Report and remove page, or by email. We confirm receipt, decide in reasonable time and say what we did.
11.3A What a report needs. To report illegal content, tell us where it is (a link), why you think it is illegal, your name and email (not needed for child sexual abuse material), and that you believe the report is accurate and complete. We answer as §11.3 and §11.5 say.
11.4 Urgent removals. Intimate imagery shared without consent: within 48 hours of a valid request (§11.4A). Apparent minors: at once, and reported as the law requires. A person who used a home-law withdrawal right: within 14 days on Mirai.
11.4A Intimate images: how to get them removed. Anyone can ask us to remove an intimate image or video of them that was shared without their consent, including one made with AI. Use our Report and remove page, the Report button, or email legal@mirai.inc. You do not need an account. Include:
- your physical or electronic signature;
- enough to find the content, such as a link;
- a short statement that you believe in good faith it shows you and was shared without your consent; and
- how to reach you.
Someone authorised to act for you can ask instead. We remove it within 48 hours, make reasonable efforts to remove known identical copies, and block re-uploads where we can. We tell the person who posted it, unless that would put someone at risk or harm an investigation, and never with your name or contact details. A knowingly false request breaks these Terms.
11.5 Statement of reasons for every removal, demotion or restriction: what, which rule, whether automated, and how to appeal. We hold it back only where giving it would put someone at risk or harm an investigation (§11.4A).
11.5A Crimes and child safety. If we suspect a crime that threatens someone's life or safety, we tell the authorities. We report apparent child sexual abuse material to NCMEC, and keep it as US law requires.
11.6 Appeal and human review. Appeal any account suspension, trust downgrade, hard stop, competition or prize decision, removal, or refusal to act on your report, free, within 6 months. A person decides. We answer within 14 days for account suspensions, trust downgrades, hard stops and prizes, and 30 days otherwise. If we were wrong, we restore. Any solely automated decision with a significant effect carries this human review.
11.7 Copyright. We follow 17 U.S.C. §512, including counter-notices under §512(g), as our Copyright Policy explains. Designated agent: [to be added]. Repeat infringers lose their accounts.
11.8 [Reserved.]
12. AI labels and provenance
12.1 Mirai's outputs carry embedded provenance that marks them as made with AI: a C2PA content credential with Mirai's inc.mirai.licence assertion and a watermark, as each is switched on. Every output carries both before Mirai serves the EU. Gallery items and autopilot posts also carry a visible "Made with AI" label, and Mirai is named as the provider. Elsewhere, whoever publishes the content discloses that it is AI-generated where the law or the platform's policy requires it (Schedule B8).
12.2 Consent never removes the label. Never remove, hide or alter a credential, watermark or label.
12.3 Anyone can check a licence ID at mirai.inc/verify: scope, term, territory, consent at generation and status. No face data or price.
12A. Posting autopilot
12A.1 Its own consent. Autopilot is off until you connect an account with that platform's own login and confirm a card for that account. The Continue tap never turns it on.
12A.2 What it posts. Only what you published or joined (such as a campaign), after it appears in Your Queue. You can remove anything from Your Queue before it posts.
12A.3 Labels. Code adds the "Made with AI" label to every post. Where you are rewarded or paid for a post (a campaign, a competition or a referral), code also adds the platform's paid-partnership label, "#ad", "#contest" or the local equivalent. Labels are never edited out.
12A.4 No opinions. No post says what you think of a product or that you use it. A brand's campaign cannot ask for that.
12A.5 Platform rules. Mirai posts only through each platform's official tools and within their limits. It does not like, follow, comment or message for you. If a platform's rules do not allow a post, or do not allow a reward for it, autopilot does not make it. Keep your connected accounts in good standing.
12A.6 Responsibility. Posts go out from your account, in your name. Mirai is responsible for posting only what you allowed, labelled as this section says. A platform's action against your account is not Mirai's responsibility unless Mirai broke this section.
12A.7 Off any time. Turn autopilot off, or disconnect an account, in one tap. We revoke and delete the token. Once you turn it off or disconnect, and during an account suspension, autopilot posts nothing new. Posts already made stay on your accounts unless you delete them.
13. Business users
13.1 This section applies to anyone using Mirai to offer goods or services, including talent who sell licences.
13.2 Business users get at least 30 days' notice of changes and may leave before they apply.
13.3 Ranking uses query relevance to declared categories and tags, whether switches allow the use, recent activity, trust level and, on the gallery, engagement. Price is a filter. Payment never changes ranking, except labelled sponsored placement.
13.4 A restriction, suspension or termination comes with a statement of reasons.
13.5 Mirai lists no likenesses of its own. Likeness Content it owns is always sold as the depicted person's listing, at their price, paying them 80%. Business users may propose mediation. It is never a condition of going to court.
13A. Business details
13A.1 If you use Mirai as a business (to buy licences, fund campaigns or sponsor competitions), give us your legal name, address, registration number, contact details and, where relevant, tax number, and keep them current. We may check them, and pause business features until they are complete.
13A.1A When you set up business features you also declare whether your business, with its affiliates, had more than US$1,000,000 of gross revenue in its last financial year. The set-up screen shows the §5.3C rule before you confirm, and it applies despite the welcome screen (§0.2).
13A.1B Paperwork. On request Mirai provides a Form W-9, a security summary and, once insured, a certificate of insurance. Purchase-order or vendor terms you send do not apply, even if Mirai accepts the order, unless both sides sign a Brand Order Form saying so.
13A.2 [Reserved.]
14. Paid plans, credits and the free tier
14.1 Before you pay. Next to the pay button we show:
- what you get, and how long it lasts;
- the all-in price, including every mandatory fee and any tax we must charge;
- that it does not renew; and
- how refunds work (§14D).
14.1A Plans that renew: none. Mirai offers no plan that renews automatically. Before it offers one, these Terms add the renewal disclosures, reminders and cancellation the law requires, and you agree to any renewal by a separate tap.
14.2 [Reserved.]
14A What you can buy at launch.
- Launch Pass, when offered: one payment for 30 days of the features and credits shown. It is not on sale at launch. When it is, it never renews automatically, and when it ends you can buy another with one tap.
- Credit packs: credits to spend on Mirai's features. A first-pack bonus, if offered, is shown before you pay; its credits are free credits (§14E(d)).
- Subscriptions that renew are not offered at launch (§14.1A).
Prices are in US dollars, shown all-in (§14.1) and listed on Prices, the Launch Pass and credits. In a Partner App you pay with Partner App payments, in USDC, at the price shown before you confirm. On mirai.inc you can pay by card through Stripe, as a one-off payment. App stores may come later, with any extra terms shown when you use them. A blockchain payment cannot be reversed. Refunds are new transfers (§14D).
14B [Reserved.]
14C [Reserved.]
14D Refunds and withdrawal.
(a) Failed generations. A generation that fails for a technical reason returns its credits automatically. One our checks block for breaking Schedule A does not.
(b) Not as described. If a paid feature does not work as we described it, tell us within 30 days. We fix it, return the credits or refund you.
(c) EU, EEA and UK consumers: 14 days to withdraw. You can withdraw from a purchase within 14 days, with "Withdraw from contract here" in Settings or by email.
- Credits and other digital content: at checkout you can ask us to deliver at once and confirm that you then lose the right to withdraw. If you do, the right ends when the credits reach your account, and your receipt confirms it.
- A Launch Pass or subscription: if you ask us to start at once and then withdraw within the 14 days, we refund the price less the part for time used and credits spent.
(d) Brazil: you can withdraw within 7 days of buying, in Settings or by email. We refund what you paid at once. If you have already used some of the credits, we refund the unused part, and the rest too where Brazilian law requires it.
(e) Argentina: you can revoke a purchase within 10 days with the "Botón de arrepentimiento" link, and cancel a plan with the "Botón de baja".
(f) Any other cancellation right your law gives you also applies.
(f1) [Reserved.]
(g) Otherwise purchases are not refundable, including unused time and unused credits, except as these Terms or the law say.
(h) Refunds go back the way you paid. Partner App payments are refunded in USDC, through the Partner App, for the US-dollar amount paid. App store purchases are refunded by the store under its rules.
(i) If you reverse a payment without a refund right (a chargeback), we may remove what it bought and pause paid features until it is settled.
14E Credits are a licence, not money.
(a) Credits are a limited, revocable licence to use Mirai's features. They have no cash value. They are not money, a deposit, stored value, e-money, a gift card or a security, and they earn nothing.
(b) You cannot sell, transfer, gift or cash out credits, or turn them into earnings. Only you can use them, and only on Mirai. Credits cannot be bought as a gift.
(c) Mirai sets how many credits each feature costs. If we raise a feature's cost, we tell you 30 days ahead. Until the change applies, you may ask for a refund of unused paid credits bought before the notice.
(d) Expiry. Paid credits expire only if an expiry date is shown when you buy them, and never sooner than 12 months after purchase. Credits that come with a Launch Pass or plan expire when its period ends and do not roll over. Free and reward credits expire on the date shown when we give them. We use the credits that expire soonest first. Expired credits end, without refund. If the law where you live does not allow credits you paid for to expire, yours do not.
(e) Closing. If you close your account, unused credits end. In Latin America, if you ask when you close your account, we first refund unused paid credits bought in the last 12 months, at the price you paid. Bonus credits are not refunded. If we close your account without a breach by you, or stop offering Mirai, we refund unused paid credits and the unused part of any plan.
14F Referral rewards are credits.
- You and the friend you invite may each get credits when they make their first film of any kind, with Mirai's free faces or their own face. The rewards page shows how many.
- Never for adding a face, passing the Verified Human Check or signing a Likeness Licence.
- No reward depends on adding a face. The only free films that need a face are films of the person who added it: the welcome film, and a first film for a model approved through the application on mirai.inc. They come once that face is added because they show that person, never as a prize for adding it.
- One reward per invited human, keyed to their Verified Human Check. Rewards have caps. They change for future invites as the rewards page shows.
- If you share your link publicly, say that you get a reward (for example "#ad" or "I get credits if you join").
- Rewards from fake accounts, self-referral or spam are removed.
- Rewards are credits unless the rewards page offers cash. Cash comes only from a share of revenue Mirai has already received.
14G The free tier. Free credits are limited. Each day we set how many there are, and what they can make, by our capacity; on busy days there are fewer, and free generations may queue or pause. We do not promise any free feature, including video, on any day. Nothing on Mirai is unlimited. Features, engines and free allowances differ by country, including in the United States. We may limit free use to stop abuse. A change in the free allowance is not a change to these Terms (Schedule D2A).
14H Taxes. We offer paid features and business sales only where we collect the tax the local law requires of us. Prices include any VAT, GST or sales tax we must charge, unless checkout shows otherwise (business prices: §8.2).
14I Business plans (brand seats). For business users (§13A).
(a) What a plan is. Seats for named people at your business, with the credits, features and cover tier shown on the plan page, for a fixed term of 1 month or 12 months, paid in advance. One person per seat; no shared logins.
(b) No automatic renewal. A plan ends at the end of its term. We remind you 30 days and 7 days before, and you renew by paying for the next term. If you renew before the end date, your per-seat price stays the same for that next term. A Brand Order Form may set its own renewal reminders and renewal price (§10.1).
(c) Annual plans cost 10 months' price. Seats added during a term are charged pro rata to its end date, so all seats end together. You may move up a level at any time, with the unused part of the old plan credited; moving down takes effect at the next term.
(d) Credits in a plan are for that plan's users and follow §14E. In an annual plan, unused monthly credits roll over month to month and end at the term's end.
(e) Every plan includes commercial use of Your Creations and client delivery (§5.3, §5.3B, §5.3C), no AI training on Your Creations (§5.3A), invoices (§8.2) and business confidentiality (§5.4, Schedule B6A). Licences of Likeness Content are bought per licence (§8).
(f) Refunds. A plan is refunded only under §14D(b), or pro rata if Mirai ends it without a breach by you.
(g) Price changes apply to later terms, by 30 days' notice (§13.2). A plan bought before the notice keeps its price to its end.
15. Electronic records
15.1 By tapping Continue you agree that we may give you contracts, notices, receipts and statements electronically: in the app, in a Partner App's inbox if you use Mirai there, by push, and by email if you gave one. Tax forms come electronically if you agree in the payout provider's tax step. You need a Partner App or a current browser and a way to save a PDF.
15.2 Paper copies are free on request at info@mirai.inc. You may withdraw this consent there. The service may then not be able to continue, because it runs electronically.
15.3 A logged tap and your signature (§0.1A) are each your electronic signature, and our records of them are evidence of what you agreed (ESIGN §7001).
15.4 We keep acceptance records 6 years after an account closes, or longer where the Likeness Licence says. Download yours in Settings.
16. Your responsibilities
16.1 Follow Schedule A and the law. Do not get around a consent check, label, rate limit, trust level, credit limit, geographic gate or residence rule.
16.2 Do not scrape Mirai, run bots, probe its security, reverse-engineer it, or use Mirai outputs to train any AI system or build a likeness database.
16.3 Do not post anyone's personal data without permission, or use Mirai to identify, track or profile people.
16.4 Never claim a person endorses or uses anything. Business users handle their own advertising disclosures off Mirai.
17. Our promises and their limits
17.1 We run Mirai with reasonable care and skill, keep the promises in these Terms and your Licence, and handle data as the Privacy Notice says.
17.2 Otherwise, as far as the law allows, Mirai is provided as it is, with no promise of uptime, results, copyright, work, earnings, views, free credits or prizes, and without implied warranties. This does not limit your legal rights as a consumer.
17.3 Never limited: liability to a person for Mirai's own misuse of their likeness or face data; death or personal injury caused by negligence; gross negligence; fraud; wilful misconduct; money Mirai owes you, such as earnings and refunds; and anything the law of your home country does not let us limit.
17.4 Outside Protected Countries. Except as §17.4B says, as far as the law allows, Mirai's total liability to you in any 12 months is capped at the greater of US$100 and the amounts you paid Mirai in those 12 months. Mirai is not liable for indirect or consequential loss, lost profits or lost data. This cap never applies to a person's likeness claims, which the Likeness Licence governs (Licence 20.4). For a buyer, the Schedule B16 indemnity has its own limits and is not reduced by this cap.
17.4A Consumers in the EU, EEA, UK and Switzerland. §17.4 does not apply. Mirai is responsible for loss that is a foreseeable result of its breach of these Terms or its failure to use reasonable care and skill. It is not responsible for loss that was not foreseeable when you accepted these Terms. Where Mirai is only slightly negligent, it is liable only for breach of a duty essential to the contract, and then only for the typical, foreseeable loss. This never limits liability under §17.3, for injury to life, body or health, under product liability law, or for anything Mirai has guaranteed.
17.4B Consumers in Latin America and the Philippines. §17.4 does not apply. Mirai is liable as your consumer law provides.
17.4C New Jersey. No clause of these Terms is void, unenforceable or inapplicable for New Jersey residents. Every clause applies to them as written, including §17.2 and §17.4, which never limit what §17.3 lists (Licence 23.3A).
17.5 Business users cover Mirai's reasonable losses from a claim caused by their breach of these Terms or Schedule B. Consumers indemnify only as far as their law allows.
18. Ending your account
18.1 Close your account any time in Settings, after exporting if you wish. If you signed a Likeness Licence, closing your account cancels future content under that Licence (a Stop): new content of you ends, and Likeness Content already made stays Mirai's. Accrued earnings stay yours and can be withdrawn under Schedule C.
18.2 We may suspend or close an account for a serious or repeated breach, fraud, abuse of free credits or referrals, a second account, being under age, or because the law requires it, with a statement of reasons and an appeal. Never for ratings, sales or volume.
18.3 Copies inside remixes and sold licences survive. §5.1A to §5.5A, §5.7, §5.7A, §10, §14D, §14E, §15.4, §17, §19, §22, Schedule B for licences already sold, and Schedule C for accrued earnings survive the end of your account or these Terms.
18.3A If Mirai stops. If we stop offering Mirai, we give at least 30 days' notice, refund unused paid credits and plan time, and pay accrued earnings under Schedule C.
19. Disputes
19.1 Talk first. Write to legal@mirai.inc with your account and what you want. We do the same. Both sides try for 60 days, with a call if asked. Time limits pause meanwhile.
19.2 United States residents.
(a) Any dispute about these Terms, the Likeness Licence, the AI Training Licence or Mirai goes to binding individual arbitration under the Federal Arbitration Act. You and Mirai each give up the right to go to court, and to a jury trial, for these disputes. The AAA runs it under its Consumer Arbitration Rules and Mass Arbitration Supplementary Rules (Commercial Rules for business users), and the clause is filed with its Consumer Clause Registry. The arbitrator decides questions about this clause's scope and enforceability, except that a court decides (d), (g) and any public-injunction claim.
(b) Outside arbitration: individual small-claims cases; complaints to any agency, including the New York Department of Labor; California public-injunction claims; court orders to stop misuse of a face, data or IP; and any claim the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act lets you take to court.
(c) Opt out by emailing legal@mirai.inc within 30 days of the later of first accepting these Terms or signing a Likeness Licence. One opt-out covers these Terms, the Likeness Licence and the AI Training Licence.
(d) No class actions. You and Mirai bring claims only individually, never as a class, collective or representative action. If a claim goes to court, you and Mirai also give up a jury trial where the law allows. If this paragraph is unenforceable for a claim, that claim goes to court and waits until the arbitrable claims are decided.
(e) Fees. Mirai pays every AAA fee above the filing fee you would pay in small-claims court.
(f) Hearings by video, or in your county if you ask. The arbitrator may award what a court could, in a reasoned decision.
(g) Mass filings. If 25 or more similar demands are filed by or with the help of the same or coordinated counsel, the AAA Mass Arbitration Supplementary Rules apply. The process arbitrator first decides 10 test cases, 5 chosen by each side. The rest wait, limitation periods pause, and the parties then mediate for 60 days. If the AAA or a court will not apply this paragraph to a claim, that claim goes on under the AAA rules alone.
(h) Delaware law governs, except protections your state does not let you give up. You may reject any later change to §19.2 by email within 30 days of the notice.
(i) Buyers and Platform Partners may rely on §19.2 for claims about a licence Mirai sold, except a claim that they used it outside that licence.
19.3 EU, EEA, UK and Swiss residents: Delaware law governs, but you always keep the protection of the mandatory rules of the country where you live, and your home law governs your consumer, image and data protections. No arbitration. You may sue in your home courts, and Mirai sues you only there.
19.4 Latin America residents: no arbitration. Your home courts, at your domicile. Your consumer and personality-rights law governs your protections.
19.5 Everyone else: no arbitration for consumers; the courts where you live. Business users: Delaware courts, non-exclusively.
19.6 Release v3 signers. Release v3 has an arbitration clause seated in Singapore (SIAC). Mirai never uses it against an individual, meaning anyone who signed for themselves rather than for a business: an individual may bring any claim about Release v3 under §19.1 to §19.5, as if Release v3 said so. A business that signed Release v3 keeps that clause until it signs a Likeness Licence of version 5.0 or later.
20. Language
20.1 These Terms are offered in English, Spanish and Portuguese at launch. You accept them, and sign the Likeness Licence, in your own language. In a country whose language is Spanish or Portuguese, signing the Likeness Licence and adding your own face open only once a certified legal translation into that language is live for these Terms with their schedules, the Likeness Licence, the signing screen, the Privacy Notice and the policy pages they link to. Until then you can still use Mirai there, including making films with Mirai's free faces. Certified translations live now: none yet.
20.2 The version in the language you accepted controls. If two versions differ, we never rely on the difference against you.
21. Changes
21.1 These Terms change only as Schedule D says.
21.1A Prices of plans and credits change only as §14E and §14I(g) say. The free tier varies as §14G says.
21.2 [Reserved.]
21.3 These Terms never widen a Likeness Licence.
22. General
22.1 Whole agreement: these Terms with their schedules, your Likeness Licence, your licence records and any Addendum or Partner Agreement you signed.
22.2 If Mirai is sold. Mirai may transfer these Terms, your account, Your Creations, Likeness Content, your licence records and consent records to an affiliate or a successor that runs the platform, only as a whole, never as a sale of data. We tell you first. The successor is bound by every promise here and in each Likeness Licence. The AI Training Licence moves only under its own rule (Licence T9). Mirai may give a lender security over its rights in Your Creations, Likeness Content and its income, never over kits or face data; anyone who enforces it takes those rights subject to these Terms and each Licence (Licence 14.1A). Mirai may use affiliates and subcontractors, and stays responsible for them. You may not transfer your account.
22.3 Rights in these Terms may be sublicensed only to processors, buyers, Platform Partners, affiliates and successors. Each part of these Terms applies as far as the law allows. If a court finds a part unenforceable, that part applies to the extent the law allows and the rest stays. In Protected Countries, a term found unfair is not applied at all, and the rest stays. No waiver unless in writing. Nothing here makes you Mirai's partner, employee or agent. Neither side is liable for delay beyond its reasonable control, except for money due.
22.4 You may not use Mirai where the law forbids it, or from a market it does not serve (§1.4B).
22.4A Sanctions. You confirm that you are not on a sanctions list and do not live in a country or region under comprehensive US sanctions. We screen payouts and wallets, and may block or hold a payout the law does not allow.
22.4B App stores. If you got Mirai from Apple's App Store:
- these Terms are between you and Mirai, not Apple, and Mirai alone is responsible for the app and its content;
- your licence to the app is non-transferable and for Apple devices you own or control, under the store's usage rules;
- Apple has no duty to support the app;
- if the app fails a warranty that applies, you may tell Apple, which refunds the app's price, and has no other warranty duty;
- Mirai, not Apple, handles claims about the app, including product liability, legal or regulatory compliance, consumer protection, privacy and intellectual property;
- you confirm you are not in a US-embargoed country or on a US prohibited-party list;
- questions go to info@mirai.inc; and
- Apple and its subsidiaries may enforce these Terms against you as third-party beneficiaries.
22.5 Earlier Mirai documents. If you accepted Mirai's earlier member terms or signed Release v3 (the earlier Model Release), what you signed stays in place until you sign a Likeness Licence of version 5.0 or later, with these changes, which only improve your position:
(a) Mirai no longer uses the member terms' promotion permission. Mirai's advertising featuring you needs your switch and your approval of each image (Licence 12.1).
(b) Mirai does not enforce the member terms' exclusivity unless you are on the Licensed Model path under a Likeness Licence (Licence 4.2).
(c) Mirai never uses Release v3's Singapore arbitration clause against an individual (§19.6).
(d) Mirai does not rely on any earlier statement that it is not liable for what its video partner does outside Mirai's instructions. Mirai answers to you for its processors as your data-protection law provides.
Schedule A: Community Standards
Version 5.3 (22 October 2026). These Standards can only narrow what is allowed. They never widen a Likeness Licence.
A1. Banned, with or without consent. No content that: (1) is sexual, nude or sexualised, of anyone, including yourself; (2) shows or suggests anyone under 18 or the local age; (3) shows a real person who has not signed, or passes itself off as a real photo or statement; (4) deceives, including fake reviews, prizes or evidence, or any output stating a person's opinion of a product or that they use it; (5) incites violence, attacks people for who they are or promotes self-harm; (6) harasses, exposes private information, or uses a signed person outside their switches; (7) breaks the law or promotes regulated goods unlawfully; (8) shows anyone intimately without documented consent (removal under Terms §11.4A); (9) has its label removed; (10) got around a consent check, gate, trust level or rate limit; (11) uses a licensed character outside its owner's rules, or anyone else's intellectual property without permission.
A2. The person's yes, every time. Political, religious, health and financial (investment, crypto, gambling) uses need the person's specific yes for that licence, on the record. Tobacco, firearms and alcohol are excluded unless the person's Rules allow them (Likeness Licence 3.2). This list lives in the Likeness Licence and is never widened here.
A3. Labels. Keep every credential, watermark and label (Terms §12, §12A.3).
A4. Takedown. A signed person can remove, with one tap, any content of themselves that breaks their rules, these Standards or the law, whoever made it. Other Likeness Content stays Mirai's to show and license under that person's Licence, unless they use a home-law withdrawal right (Licence 7.4). Sold licences follow Schedule B. We remove only for a breach of these Standards, the Terms or the law, or on such a withdrawal.
A5. Strikes. Minor breach fixed within 48 hours: warning. Strike 1: removal and trust review. Strike 2 in 12 months: trust lowered for 30 days. Strike 3: 30-day suspension. Hard stop (account closed): minors, intimate imagery without consent, deceptive impersonation, circumventing a consent check, fraud, or a second account to evade an account suspension. After a hard stop the earned balance is still paid after the tax step, unless the law freezes it. Strikes expire after 12 months, never touch anyone's 80%, and never fall on the person shown in someone else's content.
A6. Appeals under Terms §11.6.
A7. Judging follows Terms §7.2 and §7A. To keep a payout on hold during an appeal (§11.6), appeal within 14 days of the announcement.
A8. Autopilot follows Terms §12A.
A9. Narrowing only. Changes go through Schedule D and only narrow. Any line that could widen a licence is read narrowly.
Schedule B: Buyer Licence Schedule
This Schedule, as it reads on the purchase date, is copied into each licence record and is the licence. Later versions never change licences already bought. The person's Rules are the settings the person shown has chosen for licences of them (what Likeness Licence 3.2 calls "Your Rules").
B1. What a licence is. Mirai's permission, as owner and principal, to use one delivered asset of Likeness Content showing a signed person on the Mirai Licensed Model path, within the scope and declared purpose on the record. Mirai keeps ownership of the asset. It never covers the person generally, their name as an endorsement, or their voice. Your agencies, production companies, printers, media owners, and the retailers and marketplaces that sell your products, may use it for your campaign, bound through you. Buying for a client. An agency may buy for a client it names at checkout: the client is the licensee on the record and the brand checked under B9; the agency pays, is bound with the client, and may hold and deliver the asset; either may use it inside the record. Transfer. Only with the whole brand or business the licence names, on notice to Mirai, if the new owner passes the same check against the person's Rules. Mirai keeps ownership throughout. No other transfer or sublicence. What is not allowed here is not allowed.
B1A. Character licences. This Schedule also governs a licence of a Character Output (Terms §5.1E), with these changes. The Character Fee shown at checkout takes the place of the Likeness Fee, with no fee on top. The character's rules shown at checkout are part of the scope. Keep the character owner's credit and marks. Some uses wait for the owner's approval, and are refunded if it does not come. Mirai warrants that it held a licence of the character for the licensed use. The character's owner has promised Mirai that it owns the character and will cover Mirai for claims that the character, as the owner supplied it, infringes anyone's rights (Character Licence 14.1, 14.2). For a claim that the character itself infringes, where your use was inside your licence and the character's rules, Mirai defends you up to the B16(a) limits (B16(b) with Insured Cover), with the B16(f) exclusions, and passes on to you anything more it recovers from the owner for it (Character Licence 14.2A). If the output also shows a person, everything in this Schedule about that person applies too, and the stricter rule wins.
B2. Products.
| Product | Covers | Base |
|---|---|---|
| Image, Digital | Own web and e-commerce, organic and paid social, digital ads, email, retailer listings, digital out-of-home screens. Not broadcast, connected TV or cinema | The person's price, default $50 |
| Image, Print + OOH | Print, packaging, billboards, transit, in-store, plus Digital | $120 |
| Video, Digital | As Image Digital, per second, ten-second minimum, each clip its own asset and approval | $75 |
| Video, Digital + OOH | Video Digital plus digital out-of-home screens | $200 |
The person sets one price, for Image Digital. Each other product keeps the same ratio to that price as the defaults above. The Likeness Fee is the base times the duration factor. The Generation Fee for making the asset is charged separately when it is generated (§8.2A). A new kind of use of a person, such as voice, always needs their own yes first.
More ways to buy.
- Creative pack: up to 10 assets of the same person, for one brand, use and term, at 4 times the single-asset Likeness Fee, where the person has not switched packs off in their Rules. Each asset gets its own record and its own Generation Fee.
- Partnership and whitelisted ads count as paid social. A licensed asset may run through a creator's or poster's account only where that account holder authorises it in the platform's own tool and the platform's paid-partnership label shows. Never through the depicted person's own account, except under a Signature Addendum (a real endorsement, Licence 3.4).
- Connected TV and streaming video: only for people who switched it on with their signature, at 2 times Video, Digital + OOH.
B3. Duration. By the depicted person's row (Licence 23.1). Every row: 6, 12 or 24 months pre-approved inside the person's Rules; 10 years only with the person's per-deal tap naming you, the use, rate and duration, or a Signature Addendum. For a New York or Washington resident, every licence is only as named on their approval card (B17, B17A). If a law caps a licence's length, it runs for the longest period that law allows. Renewal. While a licence is live you may renew it, for the same asset and scope, for any of the periods this clause allows, at the person's price on the renewal date times that period's factor, if the person is still on the Licensed Model path and the renewal is inside the person's Rules or they approve it. A renewal bought in the 60 days before the end date starts on the end date, with no gap, and needs no new Generation Fee. Mirai reminds you 30 days and 7 days before each end date. Upgrade credit. If you move a live licence to a longer period or a wider product, the unused part of the Likeness Fee you paid counts toward the new licence.
B4. Territory and place of use. Digital is Global. Print + OOH may name one region. The place of use, for tax and for which Mirai company sells, is the territory you declare at checkout, or your country for personal use, and it is on the licence record. A Global licence includes the United States, unless you declare at checkout, and the record shows, a place of use that excludes it. Any US use makes the whole licence a US licence: Mirai Talent Inc. sells it, and the person's royalty on it is US-use for withholding (Schedule C9). A licence is never split between Mirai companies.
B5. Exclusivity. None by default: Mirai may license the same person, and other assets of them, to others.
(a) Asset exclusivity, at the rate shown at checkout: for your term Mirai licenses that asset, and close variants it makes for you, to no one else, and shows it only in your account and on its verify page.
(b) Category hold, only where the person approves it on a card naming your brand, category, territory, term (up to 24 months) and hold fee: for that term Mirai sells no new licence of that person to another brand in that category and territory. The hold fee is 1 per 6 months times the person's base price, is part of the Likeness Fee (the person gets 80%, Mirai keeps 20%). It binds Mirai's own sales only. If the person withdraws under their home law (Licence 7.4), B13 refunds it pro rata.
(c) Category exclusivity that binds the person themselves only under a Signature Addendum (its section 6), backed as its section 5.2 says.
Mirai never promises a person will not appear elsewhere: they keep their real-world work and their own posts, and if they leave the Licensed Model path, their AI likeness.
B6. Edits and ad tools. You may crop, resize, recolour, retouch blemishes, composite, place the asset in any layout or background, and add text, logos, products, prices and calls to action; for video, trim, cut, caption, add music, your voice-over (never a voice for the person) and an end card. You may use ad platforms' automatic tools that only resize, reformat, crop, expand the background or adjust brightness and contrast, and AI tools that only upscale, or remove or extend a background, if the person's face, body and identity stay unchanged. Switch off tools that generate, animate or alter people (for example "generate variations", "animate image" or "virtual try-on"). New poses, expressions, angles or clips of the person are made on Mirai, as new assets. A change to the person's face, body, skin, age or apparent identity, or a use in a context B7 bans, is outside the licence and voids Mirai's warranty and indemnity for that asset.
B6A. Your materials and confidentiality. Your logos, products, packaging, copy and other uploads stay yours (Terms §5.5A). Mirai keeps your uploads, briefs, previews and unpublished assets confidential, using them only to run Mirai (including through its processors, and with the person shown where their approval is needed) or as the law requires. Mirai keeps ownership of every asset and Creation, but never licenses to anyone else one that contains your materials, and never uses your marks or names you as a customer in its own marketing without your yes. An asset you hold exclusively follows B5(a); if someone copies it during your term, Mirai, on your report, sends takedown notices in its own name and at its own cost (Terms §5.4).
B7. Prohibited. You may not: use the asset outside the record's scope or after a B13 notice; use it in a sexual, defamatory, misleading or harmful context; use it for political, religious, health or financial messages unless the person's specific yes is on the record; present the person as endorsing, using or quoting anything (a likeness in an ad is never a testimonial); resell it or put it in a library or dataset; feed it into any AI system that changes, animates or re-creates the person, or trains on it (including image-to-image, inpainting, face or body edits, and adapter or model training), beyond the tools B6 allows; make new variants or have the person appear to speak (new variants are made on Mirai); remove a label; or use it where the person's Rules exclude the category or brand (that order is void and refunded).
B7A. Use beyond the licence. This clause binds business users.
(a) Overage becomes a paid licence. If you use an asset beyond its licence (more media, territory or time than the record shows, or a product you did not buy), and the person's Rules allow that use, you have bought, from the day that use began, the licence that covers it, at 2 times its list Likeness Fee. If you report the overage yourself before Mirai finds it, the price is the list Likeness Fee. If the person approves licences one by one, Mirai asks them; if they say no or do not answer within 7 days, (b) applies. The person gets 80% of that Likeness Fee, as on any licence.
(b) Agreed damages where the use cannot be licensed. For use in a category, brand or context the person's Rules exclude; a use B7 bans; use after a B13 notice or of a void licence; use after a false B9 declaration; or an asset with its label or credential removed, you pay Mirai, for each asset, the greater of US$5,000 and 10 times the list Likeness Fee of a 12-month Image Print + OOH licence of that person (Video Digital + OOH for a clip), up to US$25,000 per asset.
(c) Late takedown. If a placement is still up after the deadline in a Mirai notice (B13, a void licence or a takedown), you pay US$100 per asset for each day it stays up, for up to 30 days. After that, (b) applies.
(d) Agreed estimate. When you buy, neither side can measure the loss such use causes to the person's control and reputation, to Mirai (including its duties and indemnity to the person, of at least US$25,000, and its enforcement work) and to the licensing system. You and Mirai agree these sums are a genuine estimate of that loss, not a penalty, and, with audit costs under B18A, Mirai's only money remedy for it. Mirai may still get an order to stop the use, and you still cover third-party claims (B16, Terms §17.5). Where a law that applies caps agreed damages, the sum is that cap.
(e) Mirai invoices these sums with its evidence. Pay within 30 days. Disputes follow Terms §19 for business users.
B8. Labels. Keep every credential, watermark and label. In the EU you are a deployer under AI Act Art. 50(4) and must disclose AI generation. Posts by creators or others you pay or reward carry the platform's paid-partnership label and "#ad" where required. Disclose that content is AI-generated where the law or the platform's policy requires it (Terms §12.1).
B8A. Advertising rules. The person is a model in your ad, never a reviewer or a customer. So: no first-person claims or quotes ("I love it", "my skin"), no star ratings, reviews or "real customer" captions next to them, and no before-and-after results shown on them as if real. Product claims are yours and must be true (FTC Act §5; 16 CFR Parts 255 and 465, which cover AI-made testimonials). If a format could make viewers think the person is a real customer, show "AI-generated model" on screen. A real endorsement in the person's own words is only available under a Signature Addendum.
B9. Brand declaration. At checkout you declare brand, category and use, checked against the person's Rules before payment. A false declaration voids the licence, forfeits the fee and is a hard stop. One licence, one brand. Showing the retailer, marketplace or media owner where you sell or advertise is not a second brand. An agency buying for a client declares the client (B1).
B10. Licence ID. Keep the ID with the asset as your proof of licence. Where switched on, the asset's content credential also carries the Licence ID, so you, platforms and auditors can check it at mirai.inc/verify (Terms §12.1).
B11. Warranties, limited to the record. Only that: the person passed Mirai's age check before licensing opened for them (Terms §3.2; the record says whether by document check or by the payout provider's verified date of birth); the licence was inside the person's Rules or approved; no Stop preceded the generation timestamp; the references were the signer's own; and Mirai held a Likeness Licence covering the sale. No other warranty.
B12. Your only counterparty is Mirai. You waive claims against the person about the licence, its refusal, a Stop or revocation, except their own fraud. Mirai never pursues a person for a Stop or a lawful revocation. The person has agreed that a licence sold inside their Rules, or approved by them, stays valid even if they later have a dispute with Mirai, and that their claim is then against Mirai, not you, unless you used it outside the licence (Licence 7.2A).
B13. Stop, revocation, void. If the person stops, licences already sold run to their end, and Mirai may keep licensing existing Likeness Content. If they lawfully withdraw under home law (Licence 7.4), Mirai sends a notice: no new placements after 10 business days; your digital placements down within 30 days; distributed print may stay. You get a pro-rata credit or refund of both fees, your only remedy. If a licence is void (a minor, a false identity, an order past the person's Rules), you stop at once and Mirai refunds in full. Use beyond a notice is outside the licence and the indemnity, and B7A(c) applies.
B13A. Before you buy, and replacements. The listing and checkout show whether the person lives where home law lets them withdraw consent to existing content (Latin America at launch). For a long campaign you can filter to people without that flag. With Insured Cover (B16), if a withdrawal or void notice ends a live licence, Mirai also makes replacement assets with another person you choose, free of Generation Fees, and your B13 credit counts toward their licence.
B13B. Conduct. You may stop using an asset at any time. If the person shown is charged with or convicted of a serious crime, on public evidence you send, or Mirai closes their account with a hard stop (Schedule A5), you may end the licence. Mirai then credits the unused part of the Likeness Fee toward another licence, and makes the replacement assets free of Generation Fees. With Insured Cover the credit also includes the unused part of the Insured Cover charge. The person's earnings are never taken back.
B14. Consumer withdrawal follows Terms §14D(c) to (f). Businesses declare their status and have no withdrawal right.
B15. Seller. Mirai Talent Inc. Once Terms §1.3 is live, the affiliate named under it may sell a licence, named on the record, only where its place of use excludes the United States (B4), the buyer is not a US person and has no US billing address, and the person shown has no US link. Every other licence, every Platform Partner sale, and every Signature, character and training licence stays with Mirai Talent Inc. Your rights are the same either way.
B16. Indemnity tiers.
(a) Standard, on every licence. If the person shown, their estate, representative or union, or someone whose face a signer passed off as their own, claims that your use was not consented to or breaks their publicity, privacy or likeness rights, and your use was inside your licence, Mirai defends you and pays what is awarded, or agreed with Mirai's consent. Limit per licence: the greater of US$10,000 and 3 times the Likeness Fee. Limit for all your claims in any 12 months: the greater of US$100,000 and twice what you paid Mirai in the 12 months before the claim. Defence costs count toward both limits.
(b) Insured Cover, where checkout offers it, for business users on a Business plan at Growth level or above. It is an extra charge, with its price shown at checkout before you buy, and is not part of the Likeness Fee or the person's 80%. The limits rise to US$250,000 per licence and US$1,000,000 in any 12 months. It also covers a claim by someone who never signed but says the asset shows them, and a claim that the asset as Mirai delivered it infringes a copyright or trademark, where the asset passed Mirai's similarity check before licensing. Mirai offers it only while it holds media-liability insurance with affirmative AI cover of at least US$1,000,000 a year, and only while you follow the Buyer Mitigations in (e).
(c) Enterprise. Other limits only under a Brand Order Form both sides sign.
(d) Character licences. B1A sets Mirai's cover for claims about a licensed character, backed by the owner's promise to Mirai.
(e) Buyer Mitigations (for Insured Cover): keep labels, credentials and the Licence ID; stay inside the record; follow B6, B7 and B8A; take down within notice periods; declare truthfully (B9); keep usage records (B18A).
(f) Excluded: edits beyond B6; a caption, claim, combination or context you added that itself causes the claim; use outside scope or after a notice; uses lacking a needed specific yes; props, logos, products, music or other materials you added; prompts or briefs asking for a third party's work, mark or likeness; claims about an engine's or model's training data; your breach.
(g) Process. Tell Mirai promptly, and within 10 business days of receiving the claim; a late notice reduces Mirai's duty only as far as the delay harms the defence. Mirai runs the defence and settlement, and will not agree to an admission by you, or a payment by you, without your consent. You cover Mirai and the person for claims your own breach causes, as your law allows. Terms §17.4 does not reduce these limits.
B17. New York. At launch, New York residents can't be licensed commercially (Licence 23.2). Once that is switched on, for a New York resident each licence waits for the person's tap on a card naming your brand, use, rate and duration. That record is their clear written consent to the digital replica's scope, purpose, rate and duration; keep it. As for every person, there is no fee on top, and Mirai keeps 20% of the Likeness Fee. The Generation Fee is charged to whoever generates, at the published rate, never to the person or from their 80%; if New York law treats it as part of a capped fee, none is charged on New York residents' commercial licences (Licence 8.4).
B17A. Washington. At launch, Washington residents can't be licensed commercially (Licence 23.7). Once that is switched on, each licence of a Washington resident waits for the person's approval card naming your brand, use, rate and duration. The card is also their authorisation to sell under Washington's My Health My Data Act, valid for one year (buy within it) and revocable for later sales (Licence 23.7; Washington Consumer Health Data Privacy Policy).
B17B. New York synthetic performers. If your advertisement shown in New York uses a synthetic performer, including a Mirai house face, you make the disclosure New York law requires (in force since 9 June 2026). A licensed digital twin of a real person who consented is licensed under that person's Licence; label it as Mirai's credentials and labels say.
B18. Records. Mirai keeps each record for the licence's life plus six years and may show it to the person, partners, insurers, regulators and an acquirer under NDA. Report misuse to legal@mirai.inc.
B18A. Usage reports and audit. Keep records of where each asset runs (placements, media, territories, dates). Mirai may ask for a usage report up to twice a year; send it within 15 business days. Once a year on 15 business days' notice, and at any time Mirai has reasonable grounds, Mirai or an independent auditor under NDA may check those records in business hours. Mirai may also scan public placements for its content credential and watermark. If a report or check shows use beyond the licence, B7A applies, and if that use is worth more than 5% of what you paid for the licences checked, you also pay the check's reasonable cost.
B18B. Union status. Mirai is not a party to any union agreement and is never the employer of record. Where the person declared membership of a performers' union, the record shows it. If you or your production company are bound by a union agreement and your use is work it covers, its obligations are yours (for Signature talent, Addendum 2.2).
Schedule C: Payout Schedule and Rates
C1. Royalty. On every commercial licence (a brand or business licence of the likeness of a person on the Licensed Model path, sold by Mirai directly or through partners) the depicted person earns 80% of the Likeness Fee the end buyer paid, whoever sells, never net of costs. The 80% is fixed: not a floor, the most anyone earns, and never changed for an existing signer. Signature talent may add a brand-backed guarantee or equity, never a higher share.
C2. Platform Fee. Mirai's 20% of the Likeness Fee, kept from the price the buyer paid. It is not added on top, for any person. The person's 80% (C1) and Mirai's 20% together are the whole Likeness Fee.
C2A. Generation Fee. Mirai's published price per image and per clip, paid by whoever generates, with or without a person in it. Mirai's, and never shared with a person. On Renders of a licensed character, the character's owner is paid its share under its own agreement (C2B). Published on Prices, the Launch Pass and credits. It changes by notice under D2 and never touches the 80%. B17 sets the New York rule.
C2B. Personal use, and everything else. On a personal use of a person by another user, the person gets 80% of the personal-use fee charged, and Mirai keeps 20%. The rest is Mirai's: the Launch Pass, subscriptions, credits and expired credits; and every other charge. Only C1, the personal-use share above, C3, C4, C4A and C5 pay people. Character owners are paid under their own agreements.
C3. Training Royalty formula. The AI Training Licence sets the Training Royalty at 50% of what Mirai, or a holder of that licence, receives for a person's part of a model or dataset licence, or of a model used for money (Licence T5, T9). A person's part is their share of the training items in that model or dataset, counting each image as one item and each second of video as one item, shown in their earnings as a line per licence. If Mirai or a holder uses such a model for money itself, it counts as receiving 10% of its net revenue from generations made with that model. Nothing is owed until money is received. Each run is announced 14 days ahead and the person can refuse it (Licence T4).
C4. Clipping campaigns are a separate product. Each campaign page states its rate per verified view, caps, platforms, label rules and end date before you join, and that rate holds. A brand buys a campaign from Mirai and pays its budget in advance. Mirai pays posters itself, from that budget. The campaign closes when the budget is spent, and the page shows what is left. Views that fail verification are never charged. Budget left at the end date stays on the brand's account for a later campaign, or is refunded on request within 90 days, less any setup fee shown at purchase. A brand may boost a campaign post through the platform's partnership-ad tool, with the poster's authorisation there, only by buying a licence of it: for a post showing a person, a Schedule B licence at that person's price, where everyone shown is on the Licensed Model path; otherwise Mirai's boost rate on the campaign page. Views count only on posts that keep the AI label, the paid-partnership label and "#ad".
C4A. Creator rewards and the format pool. Where Mirai publishes creator rewards or a format pool (for example for remixes of your formats), you earn them as the rewards page says on the day they are earned. They are paid in credits unless the page says cash. Cash rewards come only from a share of revenue Mirai has already received.
C5. Prizes. Given within 30 days of the announcement, under each competition's rules (Terms §7.3, §7A): in Mirai film credits, or, where those rules offer cash and Terms §7.4 allows it, in USDC to the winner's balance. A cast member's share of a prize is their own prize.
C6. Accrual. Earnings accrue in US dollars (1 USDC = $1), each tied to its source, once the buyer's payment has cleared and any refund window for that purchase has passed. Until then they show as pending. Goodwill refunds never reduce earnings. A void-licence refund, a revocation credit or a reversed payment does, before payout only.
C6A. What a balance is. Your balance is a record of money Mirai owes you. It is not a deposit, a bank account, stored value or a security, and it earns no interest. You cannot send it to anyone or borrow against it. After the tax step (C8), you may choose to spend it on Mirai's passes or credits; that counts as a payout to you, including for tax.
C7. Withdrawal. Any time your balance is at least US$20, only through a licensed payout provider (C7A). Payouts go to your connected wallet, in USDC, or to the account you set up with the payout provider, in a way it offers. No payout timetable is promised; any timing the app shows is an estimate, not a promise. Once New York licensing opens, if the New York Fashion Workers Act is found to apply to Mirai, New York residents' commercial-licence earnings are paid within 45 days after the buyer's payment clears, once the tax step is done, whatever the balance.
C7A. Payout providers. We pay only through licensed payout providers. Each runs its standard identity check, tax step and sanctions screening before your first payout. When you set up payouts, you appoint the provider as your agent to receive payments from Mirai for you. Once Mirai pays the provider for you, Mirai's debt to you for that amount is paid. The provider's own terms govern its service to you.
C7B. USDC. USDC payouts go through the provider, on a public blockchain, to your connected wallet or another wallet you control that passes screening. A sent transfer cannot be reversed. Check your address. Mirai never holds your wallet's keys. If USDC cannot lawfully or safely be sent, the provider pays the US-dollar amount another way.
C8. Tax step. At first withdrawal you complete a short tax step in the payout provider's own screen, with a local-language explanation. No payout happens before it, and your balance is not available to you until it is done.
C9. Withholding. For non-US persons, US tax is withheld only on earnings from US-used licences (Schedule B4), at 30% or the certified treaty rate, computed at accrual, taken at payment and shown as gross, withheld and net. US persons get Form 1099-MISC once their royalties reach US$10 in a year. Your taxes are your own, and earnings may be taxable when they reach your balance, before you withdraw them.
C9A. Prize tax. Prizes follow Terms §7A.7.
C10. Who pays. Mirai Talent Inc. Once Terms §1.3 is live, the affiliate named under it may pay earnings from non-US use. US-use earnings are always paid by Mirai Talent Inc.
C11. Holds. Only while we check suspected fraud or where the law requires, with the reason. Nothing earned is clawed back for a Stop.
C11A. Unclaimed balances. We never forfeit a balance. If you do not withdraw for years and we cannot reach you, we follow the unclaimed-property law that applies.
C11B. Mistakes. If we credit or pay you by mistake, we may correct it, including from later earnings, and we show you the correction.
Schedule D: Change Rules
D1. Two lanes, fixed here, not chosen by Mirai.
D2. The notice lane, for listed reasons only: a new law or regulator's requirement; security; a new engine or processor that meets the published standard; a feature of the same kind inside Licence Purposes 1 to 5; a new payout rail, provider, threshold or timing; the Generation Fee rate card; plan and credit prices for future periods and purchases (Terms §14E, §14I); referral and creator rewards for the future; a new Platform Partner, named, with a one-tap decline in the US and an Allow tap elsewhere; adding a Mirai affiliate as seller or payer; Community Standards that only narrow; new licence products, durations or territories inside Schedule B's caps; default prices; competition rules for future competitions; posting mechanics; a fairer law or forum for you. Every notice names its reason.
D2A. Not a change. These vary by design, as the Terms describe, without notice: the free allowance, queues and free features (Terms §14G); which approved engine runs a feature (§6.5); and promotions, rewards and competitions before they open.
D3. The signature lane. Anything that widens what Mirai or others may do with a person's face needs that person's fresh signature (§0.1A): any new purpose or kind of use; voice or a new media class; Create only to Licensed Model; a partner receiving a kit; a weaker engine standard; a longer new-content term, or a longer pre-approved licence length; any change to the further-consent or banned lists; a worse law or forum; weakening a Stop, home-law withdrawal, deletion or liability protection. Changing the 80% for an existing signer never happens. Training is not in either lane: the AI Training Licence changes only by its own rules, and its 50% never changes (Licence T10).
D4. How a notice works. At least 30 days' notice in the app, and in the Partner App's inbox if you use Mirai there, with the full change.
(a) A change in the D2 lane applies to you when you tap Continue after the notice, logged. Until then your version applies.
(b) A change that a law or regulator requires, that only narrows others' rights or improves yours, or that clarifies wording without changing a right, applies after 30 days' notice without a tap, or sooner if the law requires (Licence 16.2).
(c) Silence and use are never acceptance of any other change.
(d) After the notice period, the app asks you to tap Continue before you go on using it. Declining means closing your account or a Stop, free. Your earnings, licences already sold and your Likeness Licence continue whatever you choose. If you decline during a plan period you paid for, we refund the unused part.
D5. Local rules. India and Indonesia residents tap for every change in either lane. Where the consumer law of your country sets stricter rules for changing a contract, those rules apply. Business users always get 30 days. A change never applies to a dispute already notified. A change to these Terms never changes the Likeness Licence or the AI Training Licence (Licence 16.4).
D6. [Reserved.]
Version 5.3, 22 October 2026.
